Common use of Transition Plan Support Agreement Clause in Contracts

Transition Plan Support Agreement. The parties agree to cooperate with one another to ensure that the transition of the ownership of the Acquired Assets proceeds with minimal disruption to the services being provided to subscribers in the Seller Exchanges. The parties agree that it may be necessary for Seller to assist Buyer in converting Seller's systems and processes with respect to the Acquired Assets to Buyer's systems and processes. Seller and Buyer agree to execute on or before the Closing Date a separate "Transition Plan Support Agreement" substantially in the form attached hereto as Exhibit E for the provision of such services.
