Transition Services Upon Termination. Upon termination or expiration of this Contract, the Company shall cooperate with the City to assist with the orderly transfer of the Products, Services, functions and operations provided by the Company hereunder to another provider or to the City as determined by the City in its sole discretion. The transition services that the Company shall perform if requested by the City include but are not limited to: 28.8.1 Working with the City to jointly develop a mutually agreed upon transition services plan to facilitate the termination of the Services; and 28.8.2 Notifying all affected vendors and subcontractors of the Company of transition activities; 28.8.3 Performing the transition service plan activities; 28.8.4 Answering questions regarding the Products and Services on an as-needed basis; and 28.8.5 Providing such other reasonable Services needed to effectuate an orderly transition to a new system.
