Common use of Transitional Services Clause in Contracts

Transitional Services. At Customer's expense on a time-and-materials basis, Ventiv will provide Customer with reasonable assistance in the winding down of the Services and/or transition of such Services to a new service provider in the event of any termination or expiration of this Agreement.

At Customer's expense on a time-and-materials basis, Ventiv will provide Customer with reasonable assistance in the winding down of the Services and/or transition of such Services to a new service provider in the event of any termination or expiration of this Agreement. This includes data migration; the costs are charged to Customer on a time-and-materials basis taking into account the respective hourly rates – at the date of conclusion of this Agreement such costs are the costs detailed in the Order Form.
