Common use of Transmission of Collateral Obligation Files Clause in Contracts

Transmission of Collateral Obligation Files. Written instructions as to the method of shipment and shipper(s) the Collateral Custodian is directed to utilize in connection with the transmission of Collateral Obligation Files in the performance of the Collateral Custodian’s duties hereunder shall be delivered by the Facility Agent or the Servicer to the Collateral Custodian prior to any shipment of any Collateral Obligation Files hereunder. In the event the Collateral Custodian does not receive such written instruction from the Facility Agent or the Servicer (as applicable), the Collateral Custodian shall be authorized and indemnified as provided herein to utilize a nationally recognized courier service. The Servicer shall arrange for the provision of such services at its sole cost and expense (or, at the Collateral Custodian’s option, reimburse the Collateral Custodian for all costs and expenses incurred by the Collateral Custodian consistent with such instructions) and shall maintain such insurance against loss or damage to the Collateral Obligation Files as the Servicer deems appropriate.

In the event the Collateral Document Custodian does not receive such written instruction from the Facility Agent Agent, the Borrower or the Servicer (as applicable)Servicer, the Collateral Document Custodian shall be authorized and indemnified as provided herein to utilize a nationally recognized courier service. Written instructions as to the method of shipment and shipper(s) the Collateral Document Custodian is directed to utilize in connection with the transmission of Collateral Obligation Files in the performance of the Collateral Document Custodian’s duties hereunder shall be delivered by the Facility Administrative Agent or the Servicer Collateral Manager to the Collateral Document Custodian prior to any shipment of any Collateral Obligation Files hereunder. In the event the Collateral Document Custodian does not receive such written instruction from the Facility Administrative Agent or the Servicer Collateral Manager (as applicable), the Collateral Document Custodian shall be authorized and indemnified as provided herein to utilize a nationally recognized courier service. The Servicer Collateral Manager shall arrange for the provision of such services at its sole cost and expense (or, at the Collateral Document Custodian’s option, reimburse the Collateral Document Custodian for all reasonable and documented out-of-pocket costs and expenses incurred by the Collateral Document Custodian consistent with such instructions) and shall maintain such insurance against loss or damage to the Collateral Obligation Files as the Servicer Collateral Manager deems appropriate.
