Transportation of Products. AT&T PARADYNE shall deliver the Products to Tech Data at the location shown and on the delivery date set forth in the applicable Purchase Order or as otherwise agreed upon by the parties. Charges for transportation of to Products shall be paid by AT&T PARADYNE. AT&T PARADYNE shall use only those common carriers preapproved by Tech Data or listed in Tech Data's published routing instructions, unless prior written approval of Tech Data is received. 5

NetIQ shall deliver the Products clearly marked -------------------------- on the Products' package with serial number, product description and machine readable bar code (employing UPC or other industry standard bar code) to Tech Data at the location shown and on the delivery date set forth in the applicable purchase order or as otherwise agreed upon by the parties. Charges for transportation of the Products shall be paid by NetIQ. NetIQ shall use only those common carriers preapproved by Tech Data or listed in Tech Data's published routing instructions, unless prior written approval of Tech Data is received.

Supplier, at its own risk, shall package and ship all Products in accordance with the Order Document and any other instructions received from Conestoga, in accordance with good commercial practice and all applicable laws, so as to ensure that no damage results to the Products as a result of weather, transportation or any other cause. The Supplier shall deliver Products with a delivery slip showing the applicable Order Document number. Conestoga shall have the right to inspect the Products upon receipt, and shall notify the Supplier forthwith if any Product is not fully satisfactory, and shall have the right to return such unsatisfactory Product to the Supplier, all at no cost to Conestoga.

Freight, handling, hazardous material charges, and distribution and installation charges shall be included in the total price of each item. In cases where parties, other than the Vendor ship materials against this order, the shipper must be instructed to show the Purchase Order number on all packages and shipping manifests to ensure proper identification and payment of invoices. A complete packing list must accompany each shipment.

Supplier shall deliver the Products to ScanSource’s carrier with serial number, product description and machine readable bar code (employing UPC or other industry standard bar code) clearly marked on the Product package. Supplier shall use commercially reasonable efforts to deliver Products by the delivery date set forth in the applicable purchase order or as otherwise agreed upon by the parties. ScanSource shall have the right to select the common carrier and all charges for transportation of the Products shall be paid by ScanSource. If the common carrier is not specified, Supplier will use reasonable efforts to choose the least cost carrier, which shall be paid by ScanSource. Supplier will comply with the Freight Policy set forth in Exhibit C.
