TREATMENT OF LOSSES. 6.1 To the extent that any claim or complaint relating to the Processing of Personal Data leads to a finding of non-compliance by Xxxxxxx.xxx or any of its Affiliates with Technology and Data Laws and such non-compliance is attributable to Partner, Partner undertakes to pay any related Losses on Xxxxxxx.xxx or any of its Affiliates’ behalf. Where such payment is not permitted for whatever reason, Partner acknowledges that such non-compliance constitutes a contractual breach as a result of which Partner (as the Indemnifying Party) will be liable towards, and compensate, indemnify and hold Xxxxxxx.xxx and each of its Affiliates (as the Indemnified Party) harmless and is required to pay the Indemnified Party a lump-sum indemnity equal to the amount of such Losses. Any claim under this Clause shall be conducted in accordance with Clause 14.5 (Conduct of Indemnity Claims).
