Triggering Event. Following a Change of Control, (A) if Employee terminates employment with Employer within nine (9) months after such Change of Control; (B) the actual termination of this Agreement by Employer without Cause; or (C) except as expressly provided herein, Employer's refusal to renew this Agreement for any one-year term for any reason, in each case, other than: (1) Employee's voluntary termination other than under proviso (A) above;
