Acknowledgment of Restrictive Covenants. The Participant acknowledges and agrees that, as a condition of receiving the Class C Units hereunder, the Participant will be bound by all of the restrictive covenants set forth in Appendix A of this Agreement, and that such restrictive covenants are in addition to, and not in lieu of, any other restrictive covenants to which the Participant may be subject.
Acknowledgment of Restrictive Covenants. Executive acknowledges that the covenants specified in Sections 10, 11, 12, and 15 hereof (collectively, the “Protective Provisions”) contain reasonable limitations as to time, geographic area, and scope of activities to be restricted and that such promises do not impose a greater restraint on Executive than is necessary to protect the goodwill, Confidential Information, trade secrets, customer and employee relations, and other legitimate business interests of the LIN Companies. Executive also acknowledges and agrees that any violation of the covenants set forth in the Protective Provisions would bestow an unfair competitive advantage upon any Person, which might benefit from such violation, and would necessarily result in substantial and irreparable damage and loss to the LIN Companies.
Acknowledgment of Restrictive Covenants. Executive acknowledges his obligations as outlined in Section 12 of the Agreement and in Section 21.6 regarding clawback or Executive forfeiture of compensation and related amounts (“Restrictive Covenants”), and acknowledges that the Restrictive Covenants remain in full force and effect.

Each of the Seller Parties hereby agrees to abide by his or its respective Restrictive Covenants and acknowledges and agrees that the payment of the Closing Consideration shall constitute, among other things, full consideration for his and its respective Restrictive Covenants, and the associated Goodwill included in the Acquired Assets. 2.6
Acknowledgment of Restrictive Covenants. Notwithstanding anything to the contrary contained herein, the Parties acknowledge and agree that the Restrictive Covenants shall remain in full force and effect in accordance with their respective terms. Employee acknowledges that the Restrictive Covenants are reasonable and necessary to protect the legitimate interests of the Company.
Acknowledgment of Restrictive Covenants. By executing this Agreement, Consultant acknowledges and agrees that (a) he is and shall remain subject to Section 7 of the Employment Agreement (the “Restrictive Covenants”), (b) a breach of the Restrictive Covenants shall constitute a breach by Consultant of this Agreement, and (c) the Company would not have entered into this Agreement but for Consultant’s promises and covenants in this Agreement, including, but not limited to, the Restrictive Covenants.
Acknowledgment of Restrictive Covenants. By executing this Agreement, Executive acknowledges and agrees that (a) as further set forth in the Advisory Agreement, he is and shall remain subject to Section 7 of the Employment Agreement (the “Restrictive Covenants”), (b) a breach of the Restrictive Covenants shall constitute a breach by Executive of this Agreement and the Advisory Agreement, and (c) the Company would not have entered into this Agreement but for Executive’s promises and covenants in this Agreement, including, but not limited to, the Restrictive Covenants.
Acknowledgment of Restrictive Covenants. District acknowledges and agrees that, before the Donation Date and completion of the Donation, the Property will be encumbered by that certain Declaration of Restrictive Covenants substantially in the form attached hereto as Exhibit C (the “Declaration”). District acknowledges and agrees that District’s use of the Property will be subject to the restrictions set forth in the Declaration and in the Gift Deed (except pursuant to Section 18 hereof, and until the Release and Termination is recorded pursuant to Section 3 hereof).
Acknowledgment of Restrictive Covenants. Xxxxx hereby acknowledges and agrees to comply with the restrictive covenants contained in Section 5 of that certain Amended and Restated Executive Employment Agreement by and between Premiere Communications, Inc. and Xxxxx dated November 6, 1995 (the "Employment Agreement"), and Section 6 of the Option Agreement by and between Premiere Technologies, Inc. and Xxxxx dated November 6, 1995. Xxxxx further agrees that such restrictive covenants shall be enforceable (to the full extent that such covenants are enforceable) under the laws of the State of Florida, without regard to Florida choice of law rules.
