Trust Expenses. Expenses incident to the Trust's performance of its duties and obligations under this Agreement include, but are not limited to, the costs of: (a) registration and qualification of the Trust shares under the federal securities laws; (b) preparation and filing with the SEC of the Trust's Prospectuses, Trust's Statement of Additional Information, Trust's Registration Statement, Trust proxy materials and shareholder reports, and preparation of a "camera-ready" copy of the foregoing; (c) preparation of all statements and notices required by any federal or state securities law; (d) printing of all proxy materials, shareholder reports, prospectuses and other documents required to be provided by the Trust to its existing shareholders, and providing sufficient copies of the same to the Company for distribution to Contract Owners currently invested in the Trust; provided, however, that if the Company prints copies of the Trust's prospectuses (or portions thereof) as part of a larger document containing prospectuses of other investment companies, the Trust shall bear the expense only of its share of the cost of printing the document (for this purpose, the Trust's share shall be the percentage of the total cost of the document represented by the ratio that the number of pages of the Trust's prospectus bears to the total number of pages); (e) all taxes on the issuance or transfer of Trust shares; (f) payment of all applicable fees relating to the Trust, including, without limitation, all fees due under Rule 24f-2 in connection with sales of Trust shares to qualified retirement plans, custodial, auditing, transfer agent and advisory fees, fees for insurance coverage and Trustees' fees; and (g) any expenses permitted to be paid or assumed by the Trust pursuant to a plan, if any, under Rule 12b-1 under the 1940 Act.

If the Trust's Prospectuses are printed by the Company in one document with the prospectus for the Contracts and the prospectuses for other funds, then the expenses of such printing will be apportioned between the Company and the Trust in proportion to the number of pages of the Contract's prospectus, other fund prospectuses and the Trust's Prospectuses, taking account of other relevant factors affecting the expense of printing, such as covers, columns, graphs and charts; the Trust to bear the cost of printing the Trust's portion of such document (relating to the Trust's Prospectuses) for distribution only to owners of existing Contracts funded by the Trust and the Company to bear the expense of printing the portion of such documents relating to the Account; provided, however, the Company shall bear all printing expenses of such combined documents where used for distribution to prospective purchasers or to owners of existing Variable Contracts not funded by the Trust.

Expenses The Trust will pay or cause to be paid all expenses incident to the Trust's performance of its duties and the obligations under this Agreement include, but are not limited to, the costs of: (a) registration and qualification of the Trust shares under this Agreement, including (i) the federal securities laws; (b) preparation preparation, printing and filing of the Trust Registration Statement (including financial statements and exhibits) as originally filed and of each amendment and supplement thereto, (ii) the preparation, 23 printing and delivery to the Underwriters of this Agreement, any Agreement among the Underwriters, the Fundamental Trust Agreements and such other documents as may be required in connection with the SEC offering, purchase, sale, issuance or delivery of the Trust's ProspectusesTrUEPrS, Trust's Statement of Additional Information(iii) the preparation, Trust's Registration Statement, Trust proxy materials issuance and shareholder reports, and preparation of a "camera-ready" copy delivery of the foregoing; certificates for the TrUEPrS, including any charges of DTC in connection therewith and any stock or other transfer taxes and any stamp or other duties payable upon the sale, issuance or delivery of the TrUEPrS and the transfer of the TrUEPrS between the Underwriters, (civ) preparation the fees and disbursements of all statements and notices required by any federal or state securities law; (d) printing of all proxy materialsthe counsel, shareholder reports, prospectuses accountants and other documents required to be provided by the Trust to its existing shareholders, and providing sufficient copies of the same to the Company for distribution to Contract Owners currently invested in the Trust; provided, however, that if the Company prints copies of the Trust's prospectuses (or portions thereof) as part of a larger document containing prospectuses of other investment companies, the Trust shall bear the expense only of its share of the cost of printing the document (for this purpose, the Trust's share shall be the percentage of the total cost of the document represented by the ratio that the number of pages of the Trust's prospectus bears to the total number of pages); (e) all taxes on the issuance or transfer of Trust shares; (f) payment of all applicable fees relating advisors to the Trust, includingthe U.K. Company, without limitationthe Jersey Holding Company, all the Jersey Charitable Trust and the Jersey Subsidiary (solely in their capacity as such and not in their capacity as counsel to the Underwriters), (v) the qualification of the TrUEPrS under securities laws in accordance with the provisions of Section 3 hereof, including filing fees due under Rule 24f-2 and the reasonable fees and disbursements of counsel for the Underwriters in connection therewith and in connection with sales the preparation of the Blue Sky Survey and any supplement thereto, (vi) any fees payable in connection with the rating of the TrUEPrS, (vii) the printing and delivery to the Underwriters of copies of each preliminary prospectus, any Trust shares Term Sheets and of the Trust Prospectus and any amendments or supplements thereto, (viii) the preparation, printing and delivery to qualified retirement plansthe Underwriters of copies of the Blue Sky Survey and any supplement thereto, custodial, auditing, (ix) the fees and expenses of any transfer agent or registrar for the TrUEPrS, (x) the fees and advisory feesexpenses incurred in connection with the listing of the TrUEPrS on the NYSE, (xi) the fees for insurance coverage and Trustees' fees; and expenses required to establish the Trust, the U.K. Company, the Jersey Holding Company, the Jersey Charitable Trust and the Jersey Subsidiary and to document the transactions to which such parties are a party as contemplated by the Registration Statements (gto the extent not paid by the U.K. Company), (xii) any expenses permitted to be paid Australian stamp duty in connection with the execution and delivery of this Agreement, the Fundamental Trust Agreements, the TrUEPrS and any other agreements or assumed instruments contemplated by the foregoing or the Trust pursuant Registration Statement, and (xiii) all other reasonable costs and expenses (excluding any out of pocket expenses incurred by the Underwriters) incident to a planthe performance of the obligations of the Trust hereunder which are not otherwise specifically provided for in this Section 4, if anyincluding without limitation any Australian duties or taxes payable in connection with the issuance, under Rule 12b-1 under sale and delivery of the 1940 ActTrUEPrS or the execution and delivery of the Fundamental Trust Agreements.
