Common use of Trustee Authorized to Join in Amendments; Reliance on Counsel Clause in Contracts

Trustee Authorized to Join in Amendments; Reliance on Counsel. The Trustee is authorized to join with the Issuer in the execution and delivery of any amendment permitted by this Article XI and in so doing shall be fully protected by an opinion of counsel, who may be counsel for the Issuer or the Company, that such amendment is so permitted and has been duly authorized by the Issuer and that all things necessary to make it a valid and binding agreement have been done.

All of the opinions of counsel required by this Article XI shall be obtained solely at the Company's expense.
