Common use of Trustee Fees and Professional Fees Clause in Contracts

Trustee Fees and Professional Fees. The Company shall pay to the Trustee and any co-trustee, paying agent, bond registrar, counsel, accountants, engineers and other Persons when due, all reasonable fees, charges and expenses of such Persons for services rendered under the Indenture, the Loan Agreement, the Deed of Trust, the Guaranty or the Hazardous Substance Certification and Indemnification and expenses incurred in the performance of such services under the foregoing agreements for which such Persons are entitled to payment or reimbursement, including expenses of compliance with the Arbitrage Instructions.

The Company Corporation shall pay to the Trustee and Trustee, any co-trusteeDissemination Agent, authenticating agents, paying agentagents, bond registrarregistrars, counsel, accountants, engineers rebate analysts and other Persons when due, all reasonable fees, charges and expenses of such Persons for services rendered under the Indenture, Indenture and under any of the Loan Agreement, the Deed of Trust, the Guaranty or the Hazardous Substance Certification and Indemnification Financing Documents and expenses incurred in the performance of such services under the foregoing agreements Indenture and any of the Financing Documents for which such Persons are entitled to payment or reimbursement, including expenses of compliance with the Arbitrage InstructionsTax Compliance Agreement and the Continuing Disclosure Undertaking.
