Common use of Truth and Accuracy of Representations and Warranties at Closing Clause in Contracts

Truth and Accuracy of Representations and Warranties at Closing. The representations and warranties of Village Farms contained in Article 4 of this Agreement shall be true, complete and accurate in all material respects (except for the Village Farms Fundamental Representations and those representations and warranties qualified by materiality or material, which shall be true, complete and accurate in all respects) on and as of the Closing Date (except that those representations and warranties which are made as of an earlier specific date shall be true, complete and accurate only as of such date) with the same force and effect as though such representations and warranties had been made on and as of such date, and Emerald shall have received a certificate signed by an authorized officer of Village Farms as to the satisfaction of the foregoing condition.
