Common use of TxDOT Discretionary Approvals Clause in Contracts

TxDOT Discretionary Approvals. If the Submittal is one where the Contract Documents indicate approval or consent or acceptance is required from TxDOT in its sole, absolute, unfettered or good faith discretion, then TxDOT’s lack of approval, determination, decision or other action within the applicable time period under Section 3.1.2 shall be deemed disapproval. If approval is subject to the sole, absolute or unfettered discretion of TxDOT, then its decision shall be final, binding and not subject to dispute resolution, and such decision shall not entitle DB Contractor to an adjustment to the Price or Completion Deadline(s) or form the basis of any other Claim. If the approval is subject to the good faith discretion of TxDOT, then its decision shall be binding unless it is finally determined under the dispute resolution procedures of this Agreement by clear and convincing evidence that such decision was arbitrary or capricious. For avoidance of doubt, if the approval is subject to the good faith discretion of TxDOT and the decision is determined to be arbitrary and capricious and causes delay, it will constitute and be treated as a TxDOT-Caused Delay, and DB Contractor shall be entitled to submit a Claim in accordance with Section 13.
