Common use of UCC Searches Clause in Contracts

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent Agents shall have received such UCC searches (including tax liens and judgments) conducted in the jurisdictions of organization of each of the Borrower and each Guarantor and the jurisdictions in which the Borrower and the Guarantors conduct business as the Agents may reasonably request and as may be reasonably obtained (dated as of a date reasonably satisfactory to the AgentAgents), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement Section 6.01 and such other Liens as may otherwise be reasonably satisfactory to the AgentAgents.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the such jurisdictions in which the Borrower and the Guarantors conduct business as may be satisfactory to the Initial Banks (dated as of a date reasonably satisfactory to the Agentthem), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than such Liens granted or permitted under the Existing Agreement hereunder and such other Liens as may be reasonably satisfactory to the AgentInitial Banks.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business are organized and have their principal offices and offices where they keep books and records related to receivables in each case satisfactory to the Agent (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens liens granted or permitted under with respect to the Existing Agreement and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be reasonably satisfactory are permitted to the Agentexist hereunder.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement Agreements and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received from the Borrower UCC searches (including tax liens and judgments) conducted in all or substantially all of the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be satisfactory to the Agent (the "UCC Searches"), and such searches shall be in form and substance reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business are organized and have their principal offices and offices where they keep books and records related to receivables in each case satisfactory to the Agent (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens liens granted or permitted under with respect to the Existing Agreement Receivables Portfolio and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the ------------ jurisdictions in which the Borrower and the Guarantors conduct conducts business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and Guarantors (other than Holdings) conduct business, satisfactory to the Guarantors conduct business Agent (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the such Guarantors other than Liens granted or permitted under the Existing Pre-Petition Credit Agreement and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Administrative Agent shall have received UCC searches (including tax liens and judgments) and patent and trademark searches conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than such Liens granted or permitted under the Existing Agreement Loan Documents and such other Liens as may be reasonably satisfactory to the Administrative Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement described in Section 3.06 and such other Liens as may be reasonably satisfactory to the Agent.

UCC Searches. The Agent shall have received UCC searches (including tax liens and judgments) and other applicable Lien searches conducted in the jurisdictions in which the Borrower and Credit Parties conduct business, satisfactory to the Guarantors conduct business Agent (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors such Credit Parties other than Liens granted or permitted under the Existing Pre-Petition Credit Agreement and such other Liens as may be reasonably satisfactory to the Agent.

The Agent shall have received UCC searches (including tax liens and judgments) conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be reasonably satisfactory to the AgentAgent and the Banks (it being agreed that such searches shall be permitted to be delivered prior to the entry of the Final Order, provided, such searches are satisfactory to the Banks).

The Agent shall have received UCC searches (including tax liens and judgments) and Patent and Trademark searches conducted in the jurisdictions in which the Borrower and the Guarantors conduct business (dated as of a date reasonably satisfactory to the Agent), reflecting the absence of Liens and encumbrances on the assets of the Borrower and the Guarantors other than Liens granted or permitted under the Existing Agreement and such other Liens as may be reasonably satisfactory to the Agent.
