UCC Search. The results of a Uniform Commercial Code search showing all financing statements and other documents or instruments on file against the Borrower in the office of the Secretary of State of Texas, such search to be as of a date no more than ten (10) days prior to the date of the initial Advance or the Letter of Credit;

UCC Search. Agent shall have obtained, at Borrower’s cost, such searches of the applicable public records as it deems necessary under all applicable law to verify that it has a first and prior perfected Lien and security interest covering all of the Collateral. Agent shall not be obligated to fund any Advance if Agent determines that Lenders do not have a first and prior perfected lien and security interest covering any portion of the Collateral, except as expressly provided herein.
UCC Search. The Agent and each Lender shall have received the results of a search of all filings made against the Borrower and each Guarantor under the Uniform Commercial Code as in effect in any state in which any assets of any Borrower or any Guarantor are located, indicating that the Collateral is free and clear of any liens or encumbrances except for Permitted Liens or for which UCC-3 termination statements are being delivered.
UCC Search. Lender shall have received searches with results reflecting the filing of its financing statements and fixture filings.

UCC Search ý (1) Within 10 days after the effective date, Seller, at Seller’s expense, will furnish Buyer a Uniform Commercial Code (UCC) search prepared by a reporting service and dated after the effective date. The search must identify documents that are on file with the Texas Secretary of State and the county where the Property is located that relate to all personal property on the Property and show, as debtor, Seller, i2 Technologies US, Inc. (“i2”), and all other owners of the personal property in the last 5 years.
UCC Search. Purchaser shall be satisfied with the results of the UCC search conducted by Seller pursuant to Paragraph 10(a)(xvi) in accordance with the provisions of Paragraph 11 (a)(ii). .

UCC Search. Any UCC search (SELLER’S title to furniture, fixtures, equipment or appliances) deemed necessary by the PURCHASER or Lender shall be obtained at PURCHASER’S expense. Any encumbrances reflected in the UCC search certificate shall be cancelled in advance of closing or paid out of closing proceeds. SELLER shall pay all costs required to cancel or release any such encumbrances.
