Common use of UK MiFIR Product Governance Rules Clause in Contracts

UK MiFIR Product Governance Rules. Solely for the purposes of the requirements of 3.2.7R of the FCA Handbook Product Intervention and Product Governance Sourcebook (the “UK MiFIR Product Governance Rules”) regarding the mutual responsibilities of manufacturers under the UK MiFIR Product Governance Rules: (a) each Underwriter which deems itself to be a manufacturer for the purposes of the UK MiFIR Product Governance Rules (each a “UK Manufacturer” and together the “UK Manufacturers”) acknowledges to each other UK Manufacturer that it understands the responsibilities conferred upon it under the UK MiFIR Product Governance Rules relating to each of the product approval process, the target market and the proposed distribution channels as applying to the Securities and the related information set out in the Prospectus and any announcements in connection with the Securities; and (b) the Company and each Underwriter which is not a UK Manufacturer note the application of the UK MiFIR Product Governance Rules and acknowledge the target market and distribution channels identified as applying to the Securities by the UK Manufacturers and the related information set out in the Prospectus and any announcements in connection with the Securities.

Solely for the purposes of the requirements of 3.2.7R of the FCA Handbook Product Intervention and Product Governance Sourcebook (the “UK MiFIR Product Governance Rules”) regarding the mutual responsibilities of manufacturers under the UK MiFIR Product Governance Rules: (a) each Underwriter which deems itself to be a manufacturer for the purposes of the UK MiFIR Product Governance Rules Banco Santander, S.A., Barclays Bank PLC, BNP Paribas and MUFG Securities EMEA plc (each a “UK Manufacturer” and together the “UK Manufacturers”) acknowledges to each other UK Manufacturer that it understands the responsibilities conferred upon it under the UK MiFIR Product Governance Rules relating to each of the product approval process, the target market and the proposed distribution channels as applying to the Securities Notes and the related information set out in the Prospectus and any announcements in connection with the SecuritiesNotes; and (b) the Company Corporation and each Underwriter which is not a UK Manufacturer note the application of the UK MiFIR Product Governance Rules and acknowledge the target market and distribution channels identified as applying to the Securities Notes by the UK Manufacturers and the related information set out in the Prospectus and any announcements in connection with the SecuritiesNotes.

Solely for the purposes of the requirements of 3.2.7R of the FCA Handbook Product Intervention and Product Governance Sourcebook (the “UK MiFIR Product Governance Rules”) regarding the mutual responsibilities of manufacturers under the UK MiFIR Product Governance Rules: (a) a. each Underwriter which deems itself to be a manufacturer for the purposes of the UK MiFIR Product Governance Rules Barclays Bank PLC, Mxxxxxx Lxxxx International, RBC Europe Limited and Wxxxx Fargo Securities International Limited (each a “UK Manufacturer” and together the “UK Manufacturers”) acknowledges to each other UK Manufacturer that it understands the responsibilities conferred upon it under the UK MiFIR Product Governance Rules relating to each of the product approval process, the target market and the proposed distribution channels as applying to the Securities Notes and the related information set out in the Preliminary Prospectus or the Prospectus and any announcements in connection with the SecuritiesNotes; and b. each of the Company, Citizens JMP Securities, LLC, Regions Securities LLC, Scotiabank (bIreland) the Company Designated Activity Company, Banco Bilbao Vizcaya Argentaria, S.A., BNP Paribas and each Underwriter which is not a UK Manufacturer note Mizuho International plc notes the application of the UK MiFIR Product Governance Rules and acknowledge acknowledges the target market and distribution channels identified as applying to the Securities Notes by the UK Manufacturers and the related information set out in the Preliminary Prospectus or the Prospectus and any announcements in connection with the SecuritiesNotes.

Xxxxxx Securities plc, Xxxxxxx Xxxxx International and Mizuho International plc (each a “UK Manufacturer” and together the “UK Manufacturers”) acknowledges to each other UK Manufacturer that it understands the responsibilities conferred upon it under the UK MiFIR Product Governance Rules relating to each of the product approval process, the target market and the proposed distribution channels as applying to the Securities Notes and the related information set out in the Prospectus and any announcements in connection with the SecuritiesNotes; and (bii) the Company and each Underwriter which is not a the Underwriters (other than the UK Manufacturer Manufacturers) note the application of the UK MiFIR Product Governance Rules and acknowledge the target market and the proposed distribution channels identified as applying to the Securities by the UK Manufacturers and the related information set out in the Prospectus and any announcements in connection with the Securities.
