The Company shall and shall ensure that each of its Key Subsidiaries shall institute, maintain and comply with internal policies, procedures and controls consistent with its business and customer profile, for the purpose of ensuring that it will not enter into any transaction: (i) with, or for the benefit of, any of the individuals or entities named on lists promulgated by; or (ii) related to any activity (a) prohibited by, the United Nations Security Council or its committees pursuant to any resolution under Chapter VII of the United Nations Charter or (b) with any Person named on the World Bank Listing of Ineligible Firms.
