Common use of Unauthorized Access Clause in Contracts

Unauthorized Access. The term “Unauthorized Access” shall mean any access to the Software and the Services except for the exclusive purposes of using the Services; accessing, retrieving, and viewing Data.

Unauthorized Access. The term “Unauthorized Access” shall mean any access to the Software or Documentation by Licensee or any third party for any use other than within the scope of the license granted by this Agreement, in connection with the operation of Licensee's business, evaluating the performance, utility and functions of the Services except for the exclusive purposes of using the Services; accessing, retrievingSoftware, and viewing Datatraining employees or independent contractors of Licensee in the use of the Software.

The term “"Unauthorized Access” " shall mean any access to the Software and the Services or Documentation except for the exclusive purposes of using the Services; accessingcomposing, retrievingtransmitting, receiving, and viewing Dataparsing XML documents via web services demonstrating the performance, utility and functions of the Software, developing new web services, and training employees of Licensee in the use of the Software.
