Common use of Underpayments/Overpayments Clause in Contracts

Underpayments/Overpayments. If such accounting firm concludes that additional royalties or other payments were due to the Auditing Party, the Audited Party shall pay to the Auditing Party the additional amounts within [ * ] of the date the Audited Party receives such accountant’s written report so concluding. If an underpayment exceeds [ * ] percent ([ * ]%) of the amounts that were to be paid to the Auditing Party, the Audited Party also shall reimburse the Auditing Party for all costs and reasonable out-of-pocket expenses incurred in conducting the audit.
