Common use of Untrue or Omitted Facts Clause in Contracts

Untrue or Omitted Facts. No representation, warranty or statement furnished by or to be furnished by Ocean or OAC in this Agreement or in any certificate, schedule or document delivered pursuant to this Agreement contains any untrue statement of a material fact, or omits to state a fact necessary in order to make such representations, warranties or statements not misleading. Without limiting the generality of the foregoing, there is no fact known to Ocean and OAC, after reasonable inquiry, that has had, or that may be reasonably expected to have, a material adverse effect on Ocean or any of the Ocean Subsidiaries or any of their respective assets, properties, operations or businesses that has not been disclosed in this Agreement.
