Common use of Update of Accountant’s Letter Clause in Contracts

Update of Accountant’s Letter. Ameriprise shall receive from Ernst & Young LLP, dated as of such Documented Closing Date, a comfort letter, in form and substance reasonably satisfactory to Ameriprise in all material respects, provided that (i) the specified procedures date referred to in such letter shall be a date not more than five days prior to each such Documented Closing Date, (ii) such comfort letter shall cover the Registration Statement and Prospectus (including all documents incorporated by reference therein), as amended and supplemented through the date of the latest post-effective amendment that triggers such Documented Closing Date (the “Current Filing”), and (iii) if financial statements or financial information of any other entity are included in the Current Filing, the comfort letter to be received by Ameriprise shall also cover such financial statements or financial information.

Update of Accountant’s Letter. Ameriprise Securities America shall receive from Ernst & Young LLP, dated as of such Documented Closing Date, a comfort letter, in form and substance reasonably satisfactory to Ameriprise Securities America in all material respects, provided that (i) the specified procedures date referred to in such letter shall be a date not more than five days prior to each such Documented Closing Date, (ii) such comfort letter shall cover the Registration Statement and Prospectus (including all documents incorporated by reference therein), as amended and supplemented through the date of the latest post-effective amendment that triggers such Documented Closing Date (the “Current Filing”), and (iii) if financial statements or financial information of any other entity are included in the Current Filing, the comfort letter to be received by Ameriprise Securities America shall also cover such financial statements or financial information.

Ameriprise shall receive from Ernst Deloitte & Young Touche LLP, dated as of such Documented Closing Date, a comfort letter, in form and substance reasonably satisfactory to Ameriprise in all material respects, provided that (i) the specified procedures date referred to in such letter subsection shall be a date not more than five days prior to each such Documented Closing Date, (ii) such comfort letter shall cover the Registration Statement and Prospectus (including all documents incorporated by reference therein)Prospectus, as amended and supplemented through the date of the latest postPeriodic Post-effective amendment Effective Amendment or Annual Post-Effective Amendment that triggers such Documented Closing Date (the “Current Filing”), and (iii) if financial statements or financial information of any other entity are included in the Current Filing, the Ameriprise shall receive a comfort letter with respect to be received by Ameriprise shall also cover such financial statements or financial information.
