Updated Fairness Opinion. The Company shall have received an update, dated as of the date of the Proxy Statement, of the written fairness opinion received from X.X. Xxxxxx & Company, Inc. (as described in Section 3.29) confirming that the Merger Consideration is fair, from a financial point of view, to the shareholders of the Company.
Updated Fairness Opinion. The Parties shall use their reasonable best efforts to obtain from Xxxxxx Xxxxxx a written fairness opinion, dated as of the date of the Proxy Statement, and otherwise substantially the same as the Xxxxxx Xxxxxx Opinion (the "UPDATED XXXXXX XXXXXX OPINION").
Updated Fairness Opinion. CIB shall use its reasonable best efforts to obtain an updated written opinion from JMS to the effect that the consideration to be received by shareholders of CIB pursuant to this Agreement is fair, from a financial point of view, to such shareholders, dated not more than ten days prior to the date of mailing of the Prospectus/Proxy Statement to the shareholders of CIB, for inclusion in such Prospectus/Proxy Statement.
Updated Fairness Opinion. NFC shall obtain an updated written opinion from Xxxx Xxxx to the effect that the consideration to be received by shareholders of NFC pursuant to this Agreement is fair, from a financial point of view, to such shareholders, dated not more than ten (10) days prior to the date of mailing of the Prospectus/Proxy Statement to the shareholders of NFC, for inclusion in such Prospectus/Proxy Statement.
Updated Fairness Opinion. Big Sky has provided to Glacier copies of Professional Bank Services' updated fairness opinion issued by Professional Bank Services to Big Sky, dated immediately before Big Sky mails the Prospectus/Proxy Statement to its stockholders and dated as of or immediately before the Effective Date, to the effect that the financial terms of the Transaction are financially fair to Big Sky's stockholders.
Updated Fairness Opinion. HomeTowne shall use its reasonable best efforts to obtain an updated written opinion from Xxxxxxx to the effect that the consideration to be received by shareholders of HomeTowne pursuant to this Agreement is fair, from a financial point of view, to such shareholders, dated not more than ten days prior to the date of mailing of the Proxy Statement to the shareholders of HomeTowne, for inclusion in such Proxy Statement.
Updated Fairness Opinion. Suburban shall obtain an updated written opinion as of a date within 15 business days of the mailing of the Proxy Statement from Xxxxxxxxx or another mutually agreeable investment banking firm of Suburban's selection to the effect that the Merger Consideration to be received by shareholders of Suburban is fair, as of the date of such opinion from a financial point of view, to such shareholders and that opinion shall be included in the Proxy Statement.
Updated Fairness Opinion. Prior to the mailing of the Proxy Statement, Pulaski shall have received the Updated Fairness Opinion.
Updated Fairness Opinion. Prior to the mailing of the Proxy Statement, Ridgewood shall have received the Updated Fairness Opinion.
Updated Fairness Opinion. On the date of the Joint Proxy Statement, the Board of Directors of EAI shall have received from Xxxxxx Brothers, Inc. a written update, dated as of such date, confirming the opinion referred to in Section 4.18 hereof.
