Common use of UpSnap Documents Clause in Contracts

UpSnap Documents. UpSnap has delivered to the Duratech Shareholders copies of the following documents, which are collectively referred to as the “UpSnap Documents” and which consist of the following dated as of the date of execution of this Agreement, all certified by a duly authorized officer of UpSnap as complete, true, and accurate: (a) A copy of the Articles of Incorporation and Bylaws of UpSnap in effect as of the date of this Agreement; (b) A copy of resolutions adopted by the board of directors of UpSnap approving this Agreement and the transactions herein contemplated; (c) A document setting forth a description of any material adverse change in the business, operations, property, inventory, assets, or condition of UpSnap since the most recent UpSnap balance sheet required to be provided pursuant to Section 2.04 hereof, updated to the Closing Date;
