U.S. Governing Law Clause Samples
The U.S. Governing Law clause establishes that the laws of a specific U.S. state or the United States as a whole will control the interpretation and enforcement of the contract. In practice, this means that any disputes arising from the agreement will be resolved according to the chosen jurisdiction's legal principles, regardless of where the parties are located or where the contract is performed. This clause provides predictability and clarity for both parties by designating a clear legal framework, thereby reducing uncertainty and potential conflicts over which laws apply.
