For All other Entities. If you are an entity not located in the United States of America, Its Possessions, and Territories, then the following applies: ALL DISPUTES ARISING IN CONNECTION WITH THIS AGREEMENT THAT CANNOT BE SETTLED THROUGH GOOD FAITH DISPUTE RESOLUTION EFFORTS AND NEGOTIATION BETWEEN THE PARTIES SHALL BE FINALLY SETTLED UNDER THE RULES OF ARBITRATION OF THE INTERNATIONAL CHAMBER OF COMMERCE BY ONE (1) ARBITRATOR FLUENT IN THE ENGLISH LANGUAGE AND WITH SIGNIFICANT EXPERIENCE IN THE SOFTWARE AND CLOUD SERVICES INDUSTRY, APPOINTED IN ACCORDANCE WITH SAID RULES. THE LANGUAGE OF THE ARBITRATION SHALL BE IN ENGLISH. THE PLACE OF THE ARBITRATION SHALL BE AT A MUTUALLY AGREED LOCATION AND IF THE PARTIES CANNOT REACH AGREEMENT, THE PLACE OF ARBITRATION SHALL BE AT THE HAGUE. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If Customer is any entity not identified in Section 15.12(a) (U.S. Governing Law for U.S. City, County, and State Government Entities) or (b) (U.S. Governing Law for Federal Government Entities), then the following applies: ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL BE GOVERNED BY CALIFORNIA LAW, EXCLUDING THAT STATE'S CONFLICT OF LAWS RULES, AND WILL BE LITIGATED EXCLUSIVELY IN THE FEDERAL OR STATE COURTS OF SANTA CLARA COUNTY, CALIFORNIA, USA; THE PARTIES CONSENT TO PERSONAL JURISDICTION IN THOSE COURTS.

If Customer is any entity not identified in Section 15.1 (U.S. Governing Law for U.S. City, County, and State Government Entities) or 15.2 (U.S. Governing Law for Federal Government Entities), then the following applies: ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL BE GOVERNED BY CALIFORNIA LAW, EXCLUDING THAT STATE’S CONFLICT OF LAWS RULES, AND, EXCEPT AS OTHERWISE PROVIDED BY SECTION 14 (ARBITRATION), WILL BE LITIGATED EXCLUSIVELY IN THE STATE COURTS OF SANTA CLARA COUNTY, CALIFORNIA, (OR, IF THERE IS FEDERAL JURISDICTION, THE UNITED STATES DISTRICT COURT FOR THE NORTHERN DISTRICT OF CALIFORNIA) USA; THE PARTIES CONSENT TO PERSONAL JURISDICTION IN THOSE COURTS. For All other Entities. If Customer is any entity incorporated in jurisdictions other than U.S and Canada, then the following applies: all Claims arising out of or relating to this Agreement or the Services shall be governed by and construed in accordance with the substantive laws of England and Wales, without regard to its conflicts of law principles, and, shall be subject to the exclusive jurisdiction of competent courts in London, UK. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply in any respect to this Agreement or the parties.
For All other Entities. If Customer is any entity not listed in Section 19.11 (A) (For U.S. City, County, and State Government Entities) or 19.11(B) (For U.S. Federal Government Entities) then the following applies: ALL CLAIMS ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICES WILL BE GOVERNED BY CALIFORNIA LAW, EXCLUDING THAT STATE’S CONFLICT OF LAWS RULES, AND WILL BE LITIGATED EXCLUSIVELY IN THE FEDERAL OR STATE COURTS OF SANTA CLARA COUNTY, CALIFORNIA, USA; THE PARTIES CONSENT TO PERSONAL JURISDICTION IN THOSE COURTS.
