US Representations. (a) It is not an “investment company” or company “controlled” by an “investment company” within the meaning of the United States Investment Company Act of 1940 (15 U.S.C. §§ 80a-1 et seq.). (b) No member of the Restricted Group is engaged principally, or as one of its important activities, in the business of extending credit for the purpose of purchasing or carrying any Margin Stock. (c) No proceeds of any Utilisation will be used, directly or indirectly, to buy or carry “margin stock” or “margin securities” (in each case within the meaning of Regulations T, U and X) or for any other purpose, in each case in violation of the provisions of Regulations T, U and X.
