U.S. Securities Matters. (i) The Company is a “foreign private issuer” within the meaning of Rule 405 of Regulation C under the U.S. Securities Act. (ii) The Company is not registered, and is not required to be registered, as an “investment company” pursuant to the U.S. Investment Company Act. (iii) The Company is currently subject to the reporting requirements of the U.S. Exchange Act under Section 13(a) thereof and the Exeter Shares are registered under Section 12(b) of the U.S. Exchange Act.
