Common use of Use by Affiliates and Third Parties Clause in Contracts

Use by Affiliates and Third Parties. Customer may allow its third party suppliers or service providers, and its Affiliates, to access and use the SaaS on Customer’s behalf, provided that: (i) such access or use must be solely for the benefit of Customer and not for the benefit of that supplier, service provider or Affiliate, (ii) the supplier’s, service provider’s or Affiliate’s access or use must be limited solely to what is required to provide its services to Customer in support of the Purpose and otherwise in accordance with the Agreement, and (iii) any such use must not be intended, in whole or in part, to circumvent any of the license restrictions in this Agreement or the applicable Order Form.
