Use of a Depository. Provided (i) the Bank has received a certified copy of a resolution of the Board specifically approving deposits in DTC or other such Depository and (ii) for any subsequent changes to such arrangements following such approval, the Board has reviewed and approved the arrangement and has not delivered an Officer's Certificate to the Bank indicating that the Board has withdrawn its approval: (a) The Bank may use a Depository to hold, receive, exchange, release, lend, deliver and otherwise deal with Portfolio Securities including stock dividends, rights and other items of like nature, and to receive and remit to the Bank on behalf of the Fund all income and other payments thereon and to take all steps necessary and proper in connection with the collection thereof; (b) Registration of Portfolio Securities may be made in the name of any nominee or nominees used by such Depository; (c) Payment for securities purchased and sold may be made through the clearing medium employed by such Depository for transactions of participants acting through it. (a) The Bank may use a Depository depository to hold, receive, exchange, release, lend, deliver and otherwise deal with Portfolio Securities including stock dividends, rights and other items of like nature, and to receive and remit to the Bank on behalf of the Fund Company all income and other payments thereon and to take all steps necessary and proper in connection with the collection thereof;
(b) Registration of Portfolio Securities may be made in the name of any nominee or nominees used by such Depository;
(c) Payment for securities purchased and sold may be made through the clearing medium employed by such Depository for transactions of participants acting through it. Upon any purchase of Portfolio Purchase Securities, payment will be made only upon delivery of the securities to or for the account of the Fund Company and the Fund Company shall pay cash collateral against the return of Portfolio Securities loaned by the Fund Company only upon delivery of the Portfolio Securities to or for the account of the FundCompany; and upon any sale of Portfolio Securities, delivery of the Securities securities will be made only against payment therefor or, in the event Portfolio Securities are loaned, delivery of Portfolio Securities will be made only against receipt of the initial cash collateral to or for the account of the FundCompany; and
(d) The Bank shall be liable to the Company for any loss or damage to the Company resulting from use of a Depository by reason of any negligence, willful misfeasance or bad faith of the Bank or its employees or from any reckless disregard by the Bank of its duty to use its best efforts to provide enforce such rights as it may have against a Depository. In this connection, the Bank shall use its best efforts to ensure that:
(i) The Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the FundCompany;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the FundCompany's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund Company to comply with the recordkeeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) thereunder; and
(v) Such Depository delivers to the Bank and the Company all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund Company may reasonably request in order to verify the Portfolio Securities held by such Depository.

(iii) Such such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fundaffected Portfolio's account;
(iv) Such such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund Portfolio to comply with the recordkeeping record keeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) 31a-1 thereunder; and
(v) Such such Depository delivers to the Bank and the Portfolio all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund Portfolio may reasonably request in order to verify the Portfolio Securities held by such Depository.

Use of a Depository. Provided (i) the Bank has received a certified copy of a resolution of the Fund's Board specifically approving deposits in DTC and PTC or other such Depository and Depository; (ii) the Bank appoints any such depository its agent; and (iii) for any subsequent changes to such arrangements each year following such Board approval, the Board has reviewed and approved the arrangement and has not delivered an Officer's Certificate to the Bank indicating that the Board it has withdrawn its approval:
(a) 1. The Bank may use a Depository to hold, receive, exchange, release, lend, deliver and otherwise deal with Portfolio Securities the securities owned by the Fund, including stock dividends, rights and other items of like nature, and to receive and remit to the Bank on behalf of the Fund all income and other payments thereon and to take all steps necessary and proper in connection with the collection thereof;, provided that such securities are held in an account of the Bank (or its agent) in such Depository which shall not include any assets of the Bank (or such agent) other than assets held as a fiduciary, custodian, or otherwise for customers. The records of the Bank shall identify those securities of the Trust held by the Depository.
(b) 2. Registration of Portfolio Securities the Fund's securities may be made in the name of any nominee or nominees used by such Depository;.
(c) 3. Payment for securities purchased and sold may be made through the clearing medium employed by such Depository for transactions of participants acting through it. Upon any purchase of Portfolio Securitiessecurities for the account of the Fund, payment will be made only upon delivery of the securities to or for the account of the Fund and the Fund shall pay cash collateral against the return of Portfolio Securities securities loaned by the Fund only upon delivery of the Securities securities to or for the account of the Fund; and upon any sale of Portfolio Securitiessecurities for the account of the Fund, delivery of the Securities securities will be made only against payment therefor thereof or, in the event Portfolio Securities securities are loaned, delivery of Securities securities will be made only against receipt of the initial cash collateral to or for the account of the Fund; and.
(d) The 4. Anything to the contrary in the Agreement notwithstanding, the Bank shall be liable to the Fund for any loss or damage to the Fund resulting from use of a Depository by reason of any negligence, wilful misfeasance or bad faith of the Bank or any of its best efforts agents or of any of its or their employees or from any negligent disregard by the Bank or any such agent of its duty to provide enforce effectively such rights as it may have against a Depository. At the election of the Fund, it shall be entitled to be subrogated for the Bank in any claim against a Depository or any other person which the Bank or its agent may have as a consequence of any such loss or damage if and to the extent that the Fund has not been made whole for any loss or damage. In this connection, with respect to the use of the Depository by the Bank, the Bank, without cost to the Fund, shall ensure that:
(i) The Depository obtains replacement of any certificated Portfolio Security security deposited with it in the event such Security security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities securities of the Fund deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities securities for the account of the Fund and of the appropriate book entry made by such Depository to the Fund's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund to comply with the recordkeeping requirements of Section 31(a) of 31 (a)of the 1940 Act and Rule 31(a) thereunder31a thereunder and such other rules and regulations relating to recordkeeping requirements of the Fund as may be enacted from time to time; and
(v) Such Depository delivers to the Bank and the Fund all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund may reasonably request in order to verify the Portfolio Securities Fund's securities held by such Depository.

(i) The Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund to comply with the recordkeeping requirements of Section 31(a31

(i) The the Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Portfolio Security is lost, destroyed, wrongfully taken taken, or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such such Depository promptly forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's accountaccount in respect of the Portfolio;
(iv) Such such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's ’s obligations and duties hereunder as may be necessary for the Fund to comply with the applicable recordkeeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) thereunderrequirements; and

(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities securities for the account of the Trust and of the appropriate book entry made by such Depository to the FundTrust's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund Trust to comply with the recordkeeping requirements of Section 31(a) of the 1940 the1940 Act and Rule 31(a) Rules 31a-1 and 31a-2 thereunder; and
(v) Such Depository delivers to the Bank and the Trust all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund Trust may reasonably request in order to verify the Portfolio Securities Trust's securities held by such Depository.
5. The Bank agrees to the following (the terms “financial assets,” “securities entitlements,” “securities intermediary,” “securities depository,” and “intermediary custodian,” as used herein, shall have the same meaning as when such terms are used in Rule 17f-4 of the 1940 Act (“Rule 17f-4”) for purposes of Rule 17f-4):
(i) In addition to, and not in lieu of, any standard of care set forth in this Agreement, the Bank shall be obligated to exercise due care in accordance with reasonable commercial standards when placing and maintaining financial assets corresponding to the Trust’s securities entitlements with a securities depository or an intermediary custodian;
(ii) In addition to the Bank's obligations under Section 11 of this Agreement, the Bank shall provide, promptly upon request by the Trust, such reports as are available regarding its internal accounting controls and financial strength; and
(iii) In addition to, and not in lieu of, any standard of care set forth in this Agreement that is applicable to an intermediary custodian appointed by the Bank pursuant to the terms of this Agreement, any such intermediary custodian shall be obligated, pursuant to the terms of its agreement or other arrangement with the Bank, at a minimum to exercise due care in accordance with reasonable commercial standards in discharging its duty as a securities intermediary to obtain and thereafter maintain financial assets, corresponding to the security entitlements of its entitlement holders (as defined in U.C.C. Sections 8-102(a)(7) (2002)).

Upon any purchase of Portfolio Securities, payment will be made only upon delivery of the securities to or for the account of the Fund and the Fund shall pay cash collateral against the return of Portfolio Securities loaned by the Fund only upon delivery of the Securities to or for the account of the Fund; and upon any sale of Portfolio Securities, delivery of the Securities will be made only against payment therefor thereof or, in the event Portfolio Securities are loaned, delivery of Securities will be made only against receipt of the initial cash collateral to or for the account of the Fund; and
(d) The Bank shall be liable to the Fund for any loss or damage to the Fund resulting from use of a Depository by reason of any gross negligence, willful misfeasance or bad faith of the Bank or its employees or from any reckless disregard by the Bank of its duty to use its best efforts to provide enforce such rights as it may have against a Depository. In this connection, the Bank shall use its best efforts to ensure that:
(i) The Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund to comply with the recordkeeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) thereunder; and
(v) Such Depository delivers to the Bank and the Fund all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund may reasonably request in order to verify the Portfolio Securities held by such Depository.

Upon any purchase of Portfolio Securitiessecurities for the account of the Trust, payment will be made only upon delivery of the securities to or for the account of the Fund Trust and the Fund Trust shall pay cash collateral against the return of Portfolio Securities securities loaned by the Fund Trust only upon delivery of the Securities securities to or for the account of the FundTrust; and upon any sale of Portfolio Securitiessecurities for the account of the Trust, delivery of the Securities securities will be made only against payment therefor thereof or, in the event Portfolio Securities securities are loaned, delivery of Securities securities will be made only against receipt of the initial cash collateral to or for the account of the Fund; andTrust.
(d) 4. The Bank shall be subject to the same liability and duty to the Trust and its shareholders with respect to all securities of the Trust, and all cash, stock dividends, rights and items of like nature to which the Trust is entitled, held or received by a central securities system as agent for the Bank, pursuant to the foregoing authorization, as if the same were held or received by the Bank at its own offices. In this connection, with respect to the use its best efforts of the Depository by the Bank but without limiting the foregoing duty or liability, the Bank, without cost to provide the Trust, shall ensure that:
(i) The Depository obtains replacement of any certificated Portfolio Security security deposited with it in the event such Security security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities securities of the Trust deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the FundTrust;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities securities for the account of the Trust and of the appropriate book entry made by such Depository to the Fund's Trust’s account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's ’s obligations and duties hereunder as may be necessary for the Fund Trust to comply with the recordkeeping requirements of Section 31(a) of the Investment Company Act of 1940 Act and Rule 31(a) Rules 31a-1 and 31a-2 thereunder; and
(v) Such Depository delivers to the Bank and the Trust all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund Trust may reasonably request in order to verify the Portfolio Securities Trust’s securities held by such Depository.

(iii) Such such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's account;
(iv) Such such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund to comply with the recordkeeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) thereunder; and

Upon any purchase of Portfolio Securities, payment will be made only upon delivery of the securities to or for the account of the Fund and the Fund shall pay cash collateral against the return of Portfolio Securities loaned by the Fund only upon delivery of the Portfolio Securities to or for the account of the Fund; and upon any sale of Portfolio Securities, delivery of the Portfolio Securities will be made only against payment therefor or, in the event Portfolio Securities are loaned, delivery of Portfolio Securities will be made only against receipt of the initial cash collateral to or for the account of the Fund; and
(d) The Bank shall use its best efforts to provide that:
(i) The Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such Depository promptly forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's account;
(iv) Such Depository prepares and delivers to the Bank such records with respect to the performance of the Bank's obligations and duties hereunder as may be necessary for the Fund to comply with the recordkeeping requirements of Section 31(a) of the 1940 Act and Rule 31(a) thereunder; and
(v) Such Depository delivers to the Bank all internal accounting control reports, whether or not audited by an independent public accountant, as well as such other reports as the Fund may reasonably request in order to verify the Portfolio Securities held by such Depository.

In this connection, the Bank shall use its best efforts to ensure that:
(i) The Depository obtains replacement of any certificated Portfolio Security deposited with it in the event such Security is lost, destroyed, wrongfully taken or otherwise not available to be returned to the Bank upon its request;
(ii) Proxy Any proxy materials received by a Depository with respect to Portfolio Securities deposited with such Depository are forwarded immediately to the Bank for prompt transmittal to the Fund;
(iii) Such Depository promptly immediately forwards to the Bank confirmation of any purchase or sale of Portfolio Securities and of the appropriate book entry made by such Depository to the Fund's account;
