Use of Assets. 21.1 The Organisation shall at all times during the Term provide and maintain all such vehicles, equipment and other assets (hereinafter together referred to as “Assets”) and materials as may be necessary from time to time for the provision of the Services. 21.2 The Organisation shall be responsible for the maintenance and (where necessary) replacement of all Assets. 21.3 All Assets employed by the Organisation in the performance of the Services at any time must be either owned or hired by the Organisation pursuant to a contract of simple hire (and not hire purchase) (the “Hire Contract”) the benefit of which contract must be capable of assignment by the Organisation to the Council or to an organisation nominated by the Council for the purpose of carrying out the Services (or any of them) so that the Services may be continued to be provided by a third party in the event of the termination of this Agreement for any reason. 21.4 The Organisation shall ensure that any such Hire Contract requires the owner of the relevant Assets to hire the Assets to the Council on the same terms as the Assets were hired to the Organisation save that the Council shall be entitled to permit the use of the Assets by any other body or person providing the Services (or any of them) or such other organisation providing the Services (or any of them) on behalf of the Council PROVIDED THAT the Council shall have served on the said owner after termination of this Agreement notice in writing requiring compliance with the said provision of the Hire Contract and upon the Council undertaking to pay all hire charges from the date of such notice. 21.5 The Organisation shall at all times be responsible for any necessary licensing and for the payment of all licensing fees, taxes and insurances as may be required in connection with the possession or use of all Assets employed in the provision of the Services. 21.6 The Organisation shall put, keep and maintain all Assets employed in the performance of the Services at all times in good and serviceable repair and in such condition as is required for the proper performance by the Organisation of its obligations under the Agreement. 21.7 All Assets and materials used by the Organisation shall conform to any applicable British Standard or equivalent EU standard and when so requested the Organisation shall provide the Council with evidence to prove that such Assets and materials so conform. 21.8 The Organisation shall permit the Council to inspect at any time on reasonable notice any Assets or materials used or proposed to be used by the Organisation in the provision of the Services and the Organisation shall facilitate such inspections. 21.9 The Organisation shall only keep such potentially dangerous or hazardous materials or equipment on the Premises as are necessary for the provision of the Services and are approved by the Council’s Representative (such approval not to be unreasonably withheld or delayed) and such materials or equipment shall at all times be kept under proper control and the Organisation shall ensure that all such materials and their usage and storage comply with all applicable laws 21.10 At the expiry of the Term or upon termination of this Agreement (whichever shall first occur) the Council may serve a notice upon the Organisation requiring the Organisation to transfer free of charge to the Council or any other person or persons as may be specified in such notice (a) all Assets and materials used by the Organisation and (b) the benefit of all contracts or agreements relating to the hire of the Assets. 21.11 Upon receipt of a notice under Clause 21.10 requiring the Organisation to transfer to the Council or any Council nominee the benefit of any contract or agreement for the hire of any Assets the Organisation shall forthwith execute all documents required to effect such transfer and shall deliver such Assets to the Council in such condition as it may be in at the date of the said notice. 21.12 The Organisation shall cause all Assets to bear such devices, insignia or words as the Council may reasonably approve and determine.

Use of Assets. 21.1 The Organisation shall at all times during the Term provide and maintain all such vehicles, equipment and other assets (hereinafter together referred to as “Assets) and materials as may be necessary from time to time for the provision of the Services. 21.2 The Organisation shall be responsible for the maintenance and (where necessary) replacement of all Assets, and shall maintain all Assets in good working condition consistent with the purposes for which such Assets are used (fair wear and tear excepted). 21.3 All Assets employed by the Organisation in the performance of the Services at any time must be either owned or hired by the Organisation pursuant to a contract of simple hire (and not hire purchase) (the Hire Contract) the benefit of which contract must be capable of assignment by the Organisation to the Council or to an organisation nominated by the Council Council's Representative for the purpose of carrying out the Services (or any of them) so that the Services may be continued to be provided by a third party in the event of the termination of this Agreement for any reason. 21.4 The Organisation shall ensure that any such Hire Contract requires the owner of the relevant Assets to hire the Assets to the Council on the same terms as the Assets were hired to the Organisation save that the Council shall be entitled to permit the use of the Assets by any other body or person providing the Services (or any of them) or such other organisation providing the Services (or any of them) on behalf of the Council PROVIDED THAT provided that the Council relevant Council(s) shall have served on the said owner after termination of this Agreement notice in writing requiring compliance with the said provision of the Hire Contract and upon the Council undertaking to pay all hire charges from the date of such notice. 21.5 The Organisation shall at all times be responsible for any necessary licensing and for the payment of all licensing fees, taxes and insurances as may be required in connection with the possession or use of all Assets employed in the provision of the Services. 21.6 The Organisation shall put, keep and maintain all Assets employed in the performance of the Services at all times in good and serviceable repair and in such condition as is required for the proper performance by the Organisation of its obligations under the Agreement. 21.7 All Assets and materials used by the Organisation shall conform to any applicable British Standard or equivalent EU standard and when so requested the Organisation shall provide the Council Council's Representative with evidence to prove that such Assets and materials so conform. 21.8 The Organisation shall permit the Council Council's Representative or some other person nominated by the Council's Representative to inspect at any time on reasonable notice any Assets or materials used or proposed to be used by the Organisation in the provision of the Services and the Organisation shall facilitate such inspections. 21.9 The Organisation shall only keep such potentially dangerous or hazardous materials or equipment on the Premises as are necessary for the provision of the Services and are approved by the Council’s 's Representative (such approval not to be unreasonably withheld or delayed) and such materials or equipment shall at all times be kept under proper control and the Organisation shall ensure that all such materials and their usage and storage comply with all applicable laws. 21.10 At the expiry of the Term or upon termination of the whole of this Agreement (whichever shall first occur) the Council may Council's Representative shall serve a notice upon the Organisation in accordance with clause 13 of the Owner's Agreement requiring the Organisation to transfer free of charge to such person as may be specified in the Council notice or any other person or persons as may be specified in such notice notice: (a) any or all Assets and materials used by the Organisation and Organisation, and (b) the benefit of any or all contracts or agreements relating to the hire of the Assets. 21.11 Upon receipt of a notice under Clause clause 21.10 requiring the Organisation to transfer to the Council or any Council nominee the benefit of any contract or agreement for the hire of any Assets the Organisation shall forthwith execute all documents required to effect such transfer and shall deliver such Assets to the Council in such condition as it may be in at the date of the said notice. 21.12 The Organisation shall cause all Assets to bear such devices, insignia or words as the Council Council's Representative may reasonably approve and determine.

Services (or any of them) so that the Services may be continued to be provided by a third party in the event of the termination of this Agreement for any reason. 21.3 The Organisation shall obtain the prior written approval of the Council’s Representative before hiring, leasing or purchasing any Asset the cost of which counts against the Council’s prudential borrowing limit. 21.4 The Organisation shall ensure that any such Leasing Contract or Hire Contract requires the owner of the relevant Assets to lease or hire the Assets to the Council on the same terms as the Assets were leased or hired to the Organisation save that the Council shall be entitled to permit the use of the Assets by any other body or person providing the Services (or any of them) or such other organisation providing Organisation shall put, keep and maintain all Assets employed in the performance of the Services (or any at all times in good and serviceable repair and in such condition as is required for the poor proper performance by the Organisation of them) on behalf of its obligations under the Council PROVIDED THAT the Council shall have served on the said owner after termination of this Agreement notice storage and security of the Assets used in the performance of the Services. 21.12 The Organisation shall ensure that it has, at all times, adequate resources of Assets and acknowledges that absence of appropriate or sufficient Assets will not be a sufficient reason for non performance of any part of the Services 21.13 The Organisation shall ensure that the Assets are used by the personnel of the Organisation in a safe manner without risk to the health and safety of the other personnel of the Organisation and third parties. 21.14 The Organisation shall ensure that on termination or expiry of the Agreement, there are sufficient Assets available to enable the Services to be provided by the Council or another organisation contracted by the Council. 21.15 At the expiry of the Term Contract Period or upon termination of this Agreement (whichever shall first occur) the Council may serve a notice upon the Organisation requiring the Organisation to (a) transfer free of charge to the Council or any other person or persons as may be specified in such notice (a) all Assets and materials owned and used by the Organisation and Organisation, (b) assign or novate the benefit of all contracts or agreements in respect of leased and hired Assets and (c) assign or novate the benefit of any maintenance or service contract relating to the hire of the those Assets. 21.11 21.16 Upon receipt of a notice under Clause 21.10 21.15 requiring the Organisation to transfer to the Council or any Council nominee the benefit of any contract or agreement for the lease or hire of any Assets and any maintenance or service contract relating to those Assets, the Organisation shall forthwith execute all documents required to effect such transfer assignment or novation and shall deliver such Assets to the Council in such condition as it they may be in at the date of the said notice. 21.12 21.17 The provisions of Clauses 2.15 and 2.16 shall not apply : 21.17.1 where the Agreement is renewed for a further period, until the expiry of that further period or termination of the renewed Agreement (whichever shall first occur); or 21.17.2 if the Organisation shall cause all Assets is transferred to bear such devices, insignia or words as merged with a registered social landlord which continues to provide the Council may reasonably approve Services to the Council; or 21.17.3 the Organisation is converted into a registered social landlord (or similar body) and determinethe Council’s housing stock is transferred to that organisation.

Organisation shall facilitate such inspections. 21.9 The Organisation shall ensure that the Assets only keep bear such potentially dangerous words, devices, insignia or hazardous materials or be kept under proper control and security of the Assets used in the performance of the Services. 21.11 The Organisation shall ensure that it has, at all such materials times, adequate resources of Assets and their usage and storage comply with all applicable lawsacknowledges that absence of appropriate or sufficient Assets will not be a sufficient reason for non performance of any part of the Services. 21.10 21.12 The Organisation shall ensure that on termination or expiry of the Agreement, there are sufficient Assets available to enable the Services to be provided by the Council or another organisation contracted by the Council. 21.13 At the expiry of the Term Contract Period or upon termination of this Agreement (whichever shall first occur) the Council may serve a notice upon the Organisation requiring the Organisation to (a) transfer free of charge to the Council or any other person or persons as may be specified in such notice (a) all Assets and materials owned and used by the Organisation and Organisation, (b) assign or novate the benefit of all contracts or agreements in respect of leased and hired Assets and (c) assign or novate the benefit of any maintenance or service contract relating to the hire of the those Assets. 21.11 21.14 Upon receipt of a notice under Clause 21.10 21.13 requiring the Organisation to transfer to the Council or any Council nominee the benefit of any contract or agreement for the lease or hire of any Assets and any maintenance or service contract relating to those Assets, the Organisation shall forthwith execute all documents required to effect such transfer assignment or novation and shall deliver such Assets to the Council in such condition as it they may be in at the date of the said notice. 21.12 21.15 The provisions of Clauses 21.13 and 21.14 shall not apply : 21.15.1 where the Agreement is renewed for a further period, until the expiry of that further period or termination of the renewed Agreement (whichever shall first occur); or 21.15.2 if the Organisation is transferred to or merged with a registered social landlord which continues to provide the Services to the Council; or 21.15.3 the Organisation is converted into a registered social landlord (or similar body) and the Council’s housing stock is transferred to that organisation. 21.16 The Organisation shall cause make its own arrangements for the cleaning, maintenance, repair, safety, insurance and security of all Assets to bear such devices, insignia owned leased or words as hired by the Organisation and used in the performance of the Services and the Council may reasonably approve shall be under no liability in respect thereof. 21.17 The Organisation shall ensure that Assets owned leased or hired by the Organisation are operated and determineused by Organisation’s personnel in a safe, reasonable and efficient manner without risk to the health and safety of the Organisation’s personnel, users of the Services and other third parties. 21.18 The Organisation shall at all reasonable times and on reasonable notice permit the Council’s Representative access to inspect and test all Assets used in the provision of the Services.
