Use of Intellectual Property Rights. The Vendors shall not, and shall procure that no persons or company controlled by any of them shall, either alone or jointly with, through or as manager, adviser, consultant or agent for any person, directly or indirectly use in connection with any business which competes, directly or indirectly, with any business of the Company as carried on at the date of this Agreement, any of the Intellectual Property Rights (in particular, any corporate, trading or business name including the words Cerus or any variation thereof or word similar thereto) or use anything which is intended or is likely to be confused with, any of the Intellectual Property Rights.
