Common use of Use of Materials and Services Clause in Contracts

Use of Materials and Services. You will not, and will not permit or authorize any third party to: (i) sell, rent, lease, sublicense or otherwise make the Materials available to any third party except as expressly authorized by this Agreement; (ii) modify or create any derivative works, functionally equivalent works, or translations of the Materials; (iii) copy any feature, design or graphic in, or disassemble, reverse engineer or decompile the Materials; (iv) access or use the Materials to compete with the Genesys Cloud Services or to assist anyone else in doing so; (v) remove or modify any proprietary markings or restrictive legends placed on any Materials; (vi) take any action that jeopardizes Our rights or the rights of Our business partners, licensors or suppliers in any Materials; (vii) use the Materials in a manner that is defamatory, harassing, hateful, infringing or otherwise causes damage or injury to any person, group, or property; (viii) use the Materials to transmit viruses or other deleterious code; (ix) perform unauthorized penetration testing or vulnerability scans; (x) perform unauthorized automated testing; (xi) damage, disable, overburden (including load testing) or impair the Materials or any other party’s use of the Materials, or (xii) violate any Laws. You are responsible for any use of the Materials by your Affiliates. You take full responsibility for ensuring that all of your personnel, third party service providers, and all other third parties that access or use the Services comply with this Agreement, and You will be liable for their acts and omissions.

You are responsible for any the use of the Materials by your Affiliates. You are responsible for any use of the Materials by your Your Affiliates. You take full responsibility for ensuring that all or any of your personnelYour end users may not or attempt to: (i) license, third party service providerssell, and all other third parties that access lease or use otherwise make the Services comply with this AgreementServices, and You will be liable for their acts and omissions.or any like service, available to non-subscribers;
