Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Program in accordance with the provisions of this Loan Agreement. Section 3.02. The proceeds of the Loan may shall be allocated and withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Eligible Items the Borrower shall procure or cause to be financed out procured items of the proceeds of the Loan shall be procured expenditure in accordance with the provisions of Schedule 4 to this Loan Agreement, as applicable. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. The proceeds of the Loan may shall be allocated and withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Except as ADB may otherwise agree, no withdrawals shall be made from the Loan Account in respect of expenditures for Eligible Items incurred more than one hundred eighty (180) days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 31 May 2010 30 September 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.01(a) The Borrower shall make the Counterpart Funds available to Punjab in Rupees upon terms and conditions mutually agreed between the Borrower and Punjab which shall include a term and an interest rate that are the same as are applicable to the Borrower. The Borrower shall bear the foreign exchange risk. (b) The Borrower shall cause Punjab to apply the proceeds of the Loan to be applied Counterpart Funds to the financing of expenditures on for the Program in accordance with the provisions of this Loan Agreement and the Program Agreement. Section 3.02. The proceeds of the Loan may be withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Eligible Items to be financed out of the proceeds of the Loan shall be produced in, and procured from, ADB's member countries in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB shall not finance a contract for goods which have not been procured in accordance with procedures agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Withdrawals from the Loan Account shall be made only on account of expenditures relating to Eligible Items which: (a) are produced in, and are supplied from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) meet such other eligibility requirements as shall have been specified by ADB from time to time. Use of Proceeds of the Loan. Section 3.01. The Borrower shall shall: (a) make the proceeds of the Loan available to the State upon terms and conditions mutually agreeable to ADB and the Borrower; and (b) cause the State to (i) lend the proceeds of the Loan to be applied GETCO under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB; and (ii) ensure that GETCO applies the proceeds of the Loan to the financing of expenditures on the Program Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan may shall be allocated and withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Eligible Items the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Withdrawals from the Loan Account shall be made only on account of expenditures relating to Eligible Items which: (a) are produced in, and are supplied from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) meet such other eligibility requirements as shall have been specified by ADB from time to time. (b) The Borrower shall cause NTDC to apply the proceeds of the Loan to the financing of expenditures on the Program Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Except as ADB shall otherwise agree, the terms for relending the proceeds of the Loan shall include interest at the rate not exceeding 2.5% per annum (inclusive of foreign exchange risk) and a repayment period not exceeding 20 years including a grace period not exceeding 6 years. (b) The Borrower shall cause the MUB to apply such proceeds to the financing of expenditures on the Program Project in accordance with the provisions of this Loan Agreement, the Ordinary Operations Loan Agreement, the Grant Agreement, and the Project Agreement. Section 3.02.
