Use of the Track. a. In The Licensor hereby grants Licensee a (limited) (Non-Exclusive), non- transferable license and the right to incorporate, include and/or use the Track in the creation of one (1) new song or to incorporate the Track into a new piece of music created by the Licensee in exchange for Licensee's payment of the License Fee. The Licensee may record his or her written words over the Track or incorporate bits and pieces of the Track into previously recorded instrumental or vocal music that the Licensee has created, produced, and/or owns in order to create the new song or new instrumental music. The "New Song" is the brand-new song or instrumental composition that the Licensee creates that utilizes all or part of the Track. In order to get the New Song ready for release, Licensee is allowed to change the Track's arrangement, length, tempo, or pitch. b. Subject to the selling restrictions, limitations, and prohibited uses specified in this Agreement, this Right grants Licensee a (Worldwide), (Non-Exclusive) license to use the Track as included in the New Song in the manners and for the purposes expressly provided herein. Licensee understands and agrees that any and all rights granted to Licensee in the Track under the provisions of this Agreement are (Non- Exclusive), and Licensor shall continue to license the Track to other possible third- party Licensees under the same or comparable terms and circumstances as this Agreement. ▪ The New Song may be used for any promotional activities, such as (Non- Exclusive) single release, inclusion in mixtapes or free music collections (EP or Albums), as well as promotional, non-profit digital streaming; ▪ The song (may) be performed publicly by the Licensee (for-profit performances) and for (unlimited non-profit performances), including but not limited to, at a live performance (i.e. concert, festival, nightclub etc.), on terrestrial or satellite radio, and/or on the internet via third-party streaming services (Spotify, YouTube, iTunes Radio etc.). The New Song may be played on (unlimited radio stations) terrestrial or satellite radio stations; ▪ The Licensee may use the New Song in sync with audiovisual works of no more than five (5) minutes in length that are (Monetized Music Videos) or (Monetized Videos Words). The Video may not play for longer than the length of the New Song, in the case that the New Song is longer than five

Use of the Track. a. In The Licensor hereby consideration of the Licensee's payment of the License Fee, the Producer at this moment grants the Licensee a (commercial yet limited) (Non, non-Exclusive)exclusive, and non- transferable license and license, providing the right to incorporate, include and/or use include, and utilize the Track track in the creation of one (1) new song or to incorporate the Track into as part of a new piece of music created by the Licensee in exchange for Licensee's payment of the License Feeinstrumental music. The Licensee may record his or her written words over the Track or incorporate bits and pieces of the Track into previously recorded instrumental or vocal music that the Licensee has created, produced, and/or owns in order to create produce the new song or new instrumental music by recording their original lyrics over the track and integrating portions or samples of the track into pre- existing instrumental music, which the Licensee has written, produced, and owns. The resulting creation, incorporating some or all of the track, shall be referred to as the "New Song." is the brand-new song or instrumental composition that the Licensee creates that utilizes all or part of the Track. In order to get the New Song ready for release, The Licensee is allowed permitted to change modify the Track's arrangement, length, tempo, or pitch. b. Subject pitch of the Beat in preparation for the New Song's public release. • This License grants the Licensee a global, non-exclusive right to utilize the track as part of the New Song, following the terms outlined in this Agreement. The Licensee must adhere to the selling specified sale restrictions, limitations, and prohibited uses specified in this Agreementuses. It's important to note that the rights granted for the track are NON-EXCLUSIVE, this Right grants Licensee a (Worldwide), (Nonallowing the Producer to license it to other potential third-Exclusive) license party licensees under similar terms. • The licensee is authorized to use the Track as included in publicly perform the New Song in AND the manners original instrumental track for both for-profit and for the purposes expressly provided herein. Licensee understands and agrees that any and all rights granted to Licensee in the Track under the provisions of this Agreement are (Non- Exclusive), and Licensor shall continue to license the Track to other possible third- party Licensees under the same or comparable terms and circumstances as this Agreement. ▪ The New Song may be used for any promotional activities, such as (Non- Exclusive) single release, inclusion in mixtapes or free music collections (EP or Albums), as well as promotional, non-profit digital streaming; ▪ The song events, EXCLUDING THE SALE OF THE ORIGINAL COMPOSITION. This includes live performances (may) be performed publicly by the Licensee (for-profit performancessuch as live coaching, festivals, and instructional sessions at academies or yoga schools, etc.) and for (unlimited non-profit performances), including but not limited to, at a live performance (i.e. concert, festival, nightclub etc.), on terrestrial or satellite radio, and/or on radio and the internet via Internet through third-party streaming services (e.g., Spotify, YouTube, iTunes Radio Radio, etc.) and websites. The New Song (not the original track purchased from the producer) can be played on unlimited terrestrial or satellite radio stations. Instead, the original composition can also be used to promote one's videos on YouTube or any other platform or used as a background. Most importantly, the Licensee is NOT AUTHORIZED TO SELL THE ORIGINAL INSTRUMENTAL TRACK. • The Licensee is granted the privilege to commercially distribute the New Song (not the original track purchased from the producer) in both physical and digital formats, encompassing unlimited downloads and the sale of physical music products. Furthermore, the Licensee is authorized to engage in unlimited monetized audio streams, video streams (both monetized and non-monetized), and unrestricted free downloads. The New Song may be played on (unlimited radio stations) terrestrial sold as a standalone single or satellite radio stations; ▪ The Licensee may use as part of a compilation, such as an EP or a full-length Album curated by the New Song in sync with audiovisual works of no more than five (5) minutes in length that are (Monetized Music Videos) or (Monetized Videos Words)Licensee. The Video may not play for longer than the length of the New Song, in the case that the New Song is longer than fivepermissible for sale through digital retailers in mp3 format for permanent digital download or physical formats, including compact discs and vinyl records. It is imperative, however, to emphasize that the Licensee is EXPRESSLY PROHIBITED from vending the instrumental track in its original delivered form. The Licensee must transform the beat/track into a New Song (or instrumental, as explicitly detailed above) for the rights outlined in this provision to take effect. Any sale of the Beat in its original form by the Licensee constitutes a substantial breach of this Agreement, rendering the Licensee liable to the Licensor for damages as stipulated herein.
