Common use of Use of the Website Clause in Contracts

Use of the Website. 10.1 CTHS will use reasonable endeavours to provide the Website to the Member and any Submitting Affiliate for the purposes of Phase 2 of STAR and the performance of this Agreement and to keep the Website and Website Content updated. The Member and any Submitting Affiliate (by way of its Authorised Users) may make use of the Website subject to the terms of this Clause 10 and the terms of the licence at Clause 16.3. 10.2 CTHS makes no guarantee that the Website or any Website Content will be: (a) free from errors or omissions, bugs or viruses; or (b) available or uninterrupted, and CTHS accepts no liability in respect of the Website's accuracy or availability, for any reliance placed on any Website Content or for any Loss caused by the Member's use of the Website. 10.3 CTHS may, in its absolute discretion, suspend, withdraw, discontinue or change all or any part of the Website or Website Content without notice. CTHS will provide maintenance and support in respect of the Website in accordance with Clause 11 (Website Maintenance and Support). 10.4 The Member will be responsible for: (a) configuring its information technology, computer programs and/or platform in order to access the Website; (b) any use of virus protection software; (c) ensuring that no viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful is introduced or submitted to the Website; (d) ensuring that no one granted access to the Website under this Agreement attempts to gain unauthorized access to the Website, the server on which the Website is stored or any server, computer or databased connected to the Website; (e) ensuring that the Website is only used for lawful purposes and only for the purposes of performing this Agreement and accessing the Reports; (f) making any arrangements necessary in order to be able to use the Website. 10.5 CTHS may make legal, regulatory, security or operational improvements to the terms of use of the Website set out in this Clause 10 by notice to the Member in writing or via the Website. CTHS will give prior notice of any such amendments where reasonably practicable.

Use of the Website. 10.1 CTHS will use reasonable endeavours Unless otherwise stated, Xxxxxx Support Services owns the intellectual property and rights to provide all content and material on the Website Website. Subject to the Member license below, all intellectual property rights are reserved. You may view, download (for caching purposes only), and any Submitting Affiliate print pages for the purposes of Phase 2 of STAR and the performance of this Agreement and to keep the Website and Website Content updated. The Member and any Submitting Affiliate (by way of its Authorised Users) may make use of the Website your personal use, subject to the terms restrictions set out below and elsewhere in these Terms of Use. The following uses are not permitted: ● Republication of content from the Website, unless content is specifically and expressly made available for republication; ● Sale, rental or sub-license of any content from the Website; ● Reproduction or duplication of any content on the Website for commercial purposes; ● Modification of any content on this Clause 10 website, unless content is specifically and the terms expressly made available for modification; ● Redistribution of content of the licence at Clause 16.3. 10.2 CTHS makes no guarantee Website, unless content is specifically and expressly made available for redistribution. Users are permitted to share content on social media channels, as long as a link to the Website is included. From time to time, the Website will utilize various plugins or widgets to allow sharing of content via social media channels, email or other methods. Use of these plugins or widgets does not constitute any waiver of Xxxxxx Support Services’ intellectual property rights. Such use is a limited license to republish the content on the approved social media channels, with full credit to Xxxxxx Support Services. You must not use the Website in a way that causes, or may cause, damage to the Website or any Website Content will be: (a) free from errors or omissions, bugs or viruses; or (b) available or uninterrupted, and CTHS accepts no liability in respect impair the availability of the Website's accuracy or availability, for any reliance placed on any Website Content or for any Loss caused by the Member's use of the Website. 10.3 CTHS may, in its absolute discretion, suspend, withdraw, discontinue or change all or any part of the Website or Website Content without notice. You must not decompile, reverse engineer, disassemble or otherwise reduce the server on which Website, except to the extent that such activity is expressly permitted by applicable law. You must not use the Website to copy, store, host, transmit, send, use, publish or distribute any material that consists of (or is stored or linked to) any serverspyware, computer virus, Trojan horse, worm, keystroke logger, rootkit and/or other harmful code or databased connected malicious software. You must not conduct any systematic or automated data collection activities, including, but not limited to scraping, data mining, data extraction or data harvesting on or in relation to the Website; (e) ensuring that Website without Xxxxxx Support Services' express written permission. You must not use the Website is only used for lawful purposes and only for the purposes of performing this Agreement and accessing the Reports; (f) making to transmit or send any arrangements necessary in order to be able to unsolicited commercial communications. You must not use the WebsiteWebsite for any third-party marketing without Xxxxxx Support Services' express written permission. 10.5 CTHS may make legal, regulatory, security or operational improvements to the terms of use of the Website set out in this Clause 10 by notice to the Member in writing or via the Website. CTHS will give prior notice of any such amendments where reasonably practicable.
