Authorised Users Sample Clauses

Authorised Users individuals who are authorised by the Institution to access the Institution's information services whether on-site or off-site via Secure Authentication and who are affiliated to the Institution as a current student (including but not limited to undergraduates, postgraduates and guest students), member of staff (whether on a permanent or temporary basis including retired members of staff and any teacher who teaches Authorised Users) or contractor or registered user of the Institution. Persons who are not currently a student, member of staff, contractor or registered user of the Institution, but who are permitted to access the Institution's information services from computer terminals or otherwise within the physical premises of the Institution ["Walk-In Users"] are also deemed to be Authorised Users, only for the time they are within the physical premises of the Institution.
Authorised Users. 22.1. Where you have Authorised Users, you are responsible for ensuring that, and represent that, they have full and appropriate authority and power to enter into this Agreement and to perform all relevant obligations on your behalf as contemplated by this Agreement. 22.2. Before using our Services, you must provide us with a list of your Authorised Users. We will confirm receipt of your list of Authorised Users, as well as any additional persons you may add to the list from time to time (as also duly authorised), and, until we do so, we shall have no obligation to accept or otherwise act upon or respond to any communication made by any such person. We will, however, be entitled to act on the communications of such a person should we believe in good faith that they are intended to be an Authorised User and we have received appropriate confirmation to this effect. We will agree with you in advance who within your organisation may add or remove persons to / from the list of Authorised Users. 22.3. In the event that someone is no longer an Authorised User, we must be informed immediately. However, as long as we have not been grossly negligent in doing so, we are not liable if we act on the communications of someone who is no longer an Authorised User. 22.4. Any communication we send to an Authorised User will be deemed sent to you. 22.5. You are fully responsible and liable for any action or inaction of all your Authorised Users, and we will deem any such action or inaction as being made directly by you. All Authorised Users may only enjoy any rights granted under this Agreement solely to the extent they do so in their capacity as your agent acting on your behalf, and not in their own capacity. You are responsible for ensuring that all Authorised Users approved by you act in accordance with your obligations set out in this Agreement, and any reference in these terms and conditions to an obligation applying to you includes an obligation on you to ensure all Authorised Users comply with such obligation. 22.6. You need to be mindful that any communications made by Authorised Users are coordinated, as if we receive Instructions from two Authorised Users, you are deemed to have intended for both Instructions to be carried out and we will act on such Instructions accordingly without verifying that those coordinated Instructions were or were not intended to be executed together when given. 22.7. Authorised UsersFor the purposes of this section, “American Express” also refers to American Express Travel Related Services Company, Inc. Use of the @ Work Services is restricted to those authorised users designated by Company during the implementation of their @ Work Services including the Master Programme Administrator and any Programme Administrator(s) (“Authorised Users”). Company understands that the designation of, and restricting access to, Authorised Users is part of the security of their overall @ Work Services data and agrees that Company shall not substitute or replace any Authorised User, or add any additional Authorised User(s), except upon notice to and with the assistance of the applicable @ Work Services Support Team or Master Programme Administrator whose responsibility it is to provide for these services. Company shall ensure that all Authorised Users comply with the terms and conditions in this section. In addition to any other limitation of liability set out in this Agreement, American Express will not be liable for any loss or damage (including but not limited to consequential loss) incurred by Company or its current or former Employees by any acts or omissions of any Authorised Users of @ Work Services, including losses associated with the Authorised User’s failure to obtain any appropriate consent or approval, or any fraudulent action(s) of Authorised User(s), Company or its Employees.
Authorised Users. Use of AccessLine is restricted to those authorised users (“Users”) designated by Company during their registration process and the Company must ensure that all Users comply with these terms and conditions. The Company must not substitute or replace any User, or add any additional Users, except upon written notice to American Express.
Authorised UsersAccess by Customer to the Services and Equipment is limited to authorised Users. Customer is responsible for ensuring Users’ compliance with this Agreement. If Vodafone provides each authorised User with User Details, Customer is responsible for: (a) the security of the User Details; and (b) providing Vodafone with the identity of the authorised Users and keeping that information current. Vodafone accepts no liability for any unauthorised or improper use or disclosure of any User Details. Customer is liable for all acts and omissions conducted using the User Details up until the time that it informs Vodafone that they are being used without authority or may be compromised.
Authorised Users. 2.1 Subject to the restrictions set out in this clause 2, and the other terms of this agreement, the Supplier hereby grants to the Customer a non-exclusive, non-transferable right to permit the Authorised Users to access and use the Services and the Documentation during the Subscription Term solely for the Customer’s internal business operations. This licence is subject to the Customer purchasing the User Subscriptions in accordance with clause 3.3 and clause 8.1. 2.2 In relation to the Authorised Users, the Customer undertakes that: (a) where applicable, the maximum number of Authorised Users that it authorises to access and use the Services and the Documentation shall not exceed the number of User Subscriptions it has purchased from time to time and it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services and/or Documentation; (b) each Authorised User shall keep a secure password for his use of the Services and Documentation, that such password shall be changed regularly and that each Authorised User shall keep his password confidential; (c) in any given year, they will not perform reassignments amounting to more than 50% of the total number of User Subscriptions purchased by the Subscriber; (d) if it is discovered that the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier’s other rights, the Customer shall pay to the Supplier an amount equal to such underpayment as calculated in accordance with the Charges set out in a successfully raised Call-Off Contract within 10 Business Days of the date of the relevant audit. 2.3 Neither party shall, and the Customer shall procure the Authorised Users do not, access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that: (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (b) facilitates illegal activity; (c) depicts sexually explicit images; (d) promotes unlawful violence; (e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or (f) is otherwise illegal or causes damage or injury to any person or property; and the Supplier reserves the right, without liability or prejudi...

Authorised Users. 3.1 Access to the Modulr Products is restricted to individuals that have been designated by the Introduced Customer as Authorised Users. 3.2 The Introduced Customer must notify Modulr of all individuals it wishes to be an Authorised User. 3.3 Each Authorised User is permitted to access and use the Modulr Products in accordance with these Introduced Customer Terms of Business. 3.4 The Introduced Customer will be responsible for training its Authorised Users in the appropriate use of Modulr Products. 3.5 The Introduced Customer shall ensure its Authorised Users; 3.5.1 take all reasonable care to ensure Modulr Product access credentials, including login details to the Website, where applicable, are kept confidential to each Authorised User; and 3.5.2 do not share any information that would enable another party to access the Introduced Customer’s Modulr Account. 3.6 The Introduced Customer acknowledges and agrees that each Authorised User is authorised by the Introduced Customer to act on its behalf. Modulr shall deem any instruction given by an Authorised User is an instruction given by the Introduced Customer. 3.7 The Introduced Customer will be responsible for timely notification to Modulr of any revocation of Authorised User access and will be liable for Transactions made, Xxxx incurred and use of Modulr Products by an Authorised User until Xxxxxx has had one full business day to act on any received notice. This clause shall not apply to Introduced Customers accessing Modulr Products via the Partner Platform. 3.8 Where the Introduced Customer accesses Modulr Products through a Partner Platform, such Partner Platform will be considered the Authorised User. In this instance if additional Authorised Users are required they must be requested by the Partner Platform. The use of a Partner Platform to access the Modulr Products by the Introduced Customer are set out in further detail below.
Authorised Users. 5.1 The Client shall designate its Authorised Users, with no limit in number, and may make changes at any time. The Client shall be responsible for maintaining a current and accurate written list of Authorised Users and shall provide such list to Acolyte on request. 5.2 Authorised Users shall be the only users of the Application, and Authorised Users must access the Application solely for the benefit of the Client. 5.3 To be an Authorised User, an individual must: 5.3.1 have authorisation from the Client to access and use the Application; 5.3.2 complete the registration process, and keep such registration information current during the Term; and 5.3.3 have a User ID, such as his or her email, to enable his or her access to the Application. 5.4 The Client is responsible for all damage and losses arising as a result of Authorised Users’ access to and use of the Application, such as, for instance, the granting of access to Candidate Data to third parties by an Authorised User in breach of this Agreement and Data Protection Legislation. Any breach of this Agreement by any Authorised User will be deemed to be a breach of this Agreement by the Client, and the Client will be liable for any losses arising. 5.5 The Client shall notify Acolyte as soon as reasonably possible if the Client becomes aware of any unauthorised use of the whole or any part of the Application by any of the Client’s employees, contractors or officers, or anyone else. 5.6 The Client shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Application, and in the event of any such unauthorised access or use, promptly notify Acolyte. 5.7 In relation to the Authorised Users, the Client 5.7.1 it shall procure that each Authorised User 5.7.2 it shall not knowingly permit anyone other than an Authorised User to use or access the Application; 5.7.3 each Authorised User shall keep a secure password for his use of the Application and that each Authorised User shall keep his password confidential and not share their log-in credentials with anyone else, including other Authorised Users or Client personnel; 5.7.4 authorised Users shall use only their own User IDs and never share their User ID; keep their respective User ID and password information secure and confidential; and change their password as frequently as is reasonably required by Acolyte; 5.7.5 it shall adopt and maintain reasonable security precautions for User IDs to prevent their disclosure to and use by unau...
Authorised Users. When requested in writing by the Principal Cardholder, we may issue an additional Card together with a separate PIN for use by an Authorised User. In addition to our other powers, we may cancel any Authorised User’s Card at any time upon the request in writing of the Principal Cardholder and the return of such Card to us, or upon surrender of such Card to us by the Authorised User.
