Use of Upfront Deposit. Seller shall apply the Upfront Deposit (i) first, to the payment in full of its pro rata share of outstanding Costs and Financing Costs (as each such term is defined in the JV Master Agreement) owing to MCC in order to receive its additional 2.74% undivided beneficial interest in Xxxx Xxxxxx JV in accordance with section 5.6 of the JV Master Agreement, (ii) second, to costs incurred in connection with preparation, negotiation and execution of the Transaction Documents, (iii) third, to deposit to the Proceeds Account an amount equal to Seller’s Proportionate Share of Xxxx XX operating costs forecast to be payable in the 3 months following the Closing Date, and (iv) after payment in full of the amounts set out in paragraph (i), (ii) and (iii) above, to general corporate purposes.
