Users 使 用 者. All personal data concerning the Client (whether provided by the Client or any other person, and whether provided before or after the date the Client receives this Agreement containing this information) may be used by any of the following companies or persons (each, a “User”) in or outside Hong Kong: 有關客戶的所有個人資料(不論是由客戶所提供或其他人士所提供;及不論是在客戶收到包含此等資料的本協議之日之前或之後提供)可被任何下列位於或不位於香港的公司或人士使用(均為「使用者」): a. FORWIN and/or any of the holding companies/subsidiaries associated with FORWIN (the “Group”); 富榮證券及與之有關的任何控股/子公司(「本集團」); b. any director, officer or employee or the agent of the Group; 本集團的任何董事、高級職員、僱員或代理人; c. any person (such as lawyers, advisers, nominee, custodian etc.) authorized by the Group when carrying out the Client’s instructions and/or the business of the Group; 執行客戶指示及/或從事本集團業務而由本集團授權的任何人士(例如律師、顧問、代名人、託管人等); d. any actual or proposed assignee of any rights and obligations of the Group in relation to the Client; 持有本集團與客戶相關的任何權利和義務的任何實際或建議受讓人的; e. any governmental, regulatory or other bodies or institutions, whether as required by law or regulations applicable to any member of the Group; and 任何政府機構、監管機構或其他團體或機構(不論是法例或任何集團成員適用的規例所要求);及 f. any banks, financial institutions or brokers and insurance agents who are business partners, associates or related parties of the Group for the provision of investment products or services. 任何銀行、金融機構、中介人、保險經紀,均為本集團之業務合作夥伴、關聯公司或關聯方,提供投資產品或服務之等。 g. any agents, contractors, sub-contractors, service providers or associates of the Group (including their employees, directors, officers, agents, contractors, service providers, and professional advisers); 本集團的任何代理、承包商、次承包商、服務供應商或聯營人士(包括彼等的僱員、董事、職員、代理人、承包商、服務供應商及專業顧問); h. any third-party service provider who provides administrative, telecommunications, computer, payment, debt collection or securities clearing or other services to the Group in connection with the operation of its business (including their employees, directors and officers); 任何就本集團業務運作向本集團提供行政、電訊、電腦、付帳、債務追討或證券結算或其他服務的第三方服務供應商(包括彼等的僱員、董事及職員); i. any person under a duty of confidentiality to the Group including a member of the Group which has undertaken to keep such information confidential; 任何對本集團有保密責任的其他人士,包括就有關資料對本集團有保密承諾的本集團之集團成員; j. credit reference agencies and, in the event of default, to debt collection agencies; and 信貸資料服務機構,如資料當事人欠款時則可將該等資料提供予債務追收代理; 及 k. charitable or non-profit making organizations. 慈善或非牟利機構。

  • Users There is no limit to the number of users who can access the Software. You can invite any person You wish to access the Software.

  • Insurance, Subcontractor's Public Liability and Property Damage The Contractor shall require each of its subcontractors to secure and maintain during the life of the subcontract, insurance of the type specified in this Contract, or, the Contractor may insure the activities of its subcontractors in the Contractor’s policy, as specified in this Contract.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Contractor’s Equipment The Contractor shall be responsible for all Contractor’s Equipment. The Contractor’s Equipment shall be deemed to be exclusively intended for the execution of the Works.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract. a. The contractor shall notify all potential subcontractors and suppliers and lessors of their EEO obligations under this contract. b. The contractor will use good faith efforts to ensure subcontractor compliance with their EEO obligations.

  • Minimum Customer Support Requirements for TIPS Sales Vendor shall provide timely and commercially reasonable support for TIPS Sales or as agreed to in the applicable Supplemental Agreement.

  • Contractor's care of the Works The Contractor shall bear full risk in, and take full responsibility for, the care of the Works, and of the Materials, goods and equipment for incorporation therein, from the Appointed Date until the date of Completion Certificate, save and except to the extent that any such loss or damage shall have arisen from any wilful default or gross neglect of the Authority.

  • Designated Configuration; Trained Personnel State Street and the Fund shall be responsible for supplying, installing and maintaining the Designated Configuration at the Designated Locations. State Street and the Fund agree that each will engage or retain the services of trained personnel to enable both parties to perform their respective obligations under this Addendum. State Street agrees to use commercially reasonable efforts to maintain the System so that it remains serviceable, provided, however, that State Street does not guarantee or assure uninterrupted remote access use of the System.

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.
