Common use of USFloral to Provide Cash and Common Stock Clause in Contracts

USFloral to Provide Cash and Common Stock. In exchange for the outstanding shares of capital stock of the Company, USFloral shall cause to be made available to the Stockholders the Merger Consideration (including cash in an amount sufficient for payment in lieu of fractional shares pursuant to Section 1.2(d)), as adjusted pursuant to Section 2.2 and Section 3.1. The certificates evidencing the USFloral Common Stock component of the Merger Consideration shall bear appropriate legends pursuant to the terms of this Agreement, and USFloral shall be entitled to issue appropriate stop transfer instructions to its transfer agent consistent with the terms of this Agreement.
