Common use of Valid Execution Clause in Contracts

Valid Execution. The execution and delivery of this Agreement by Developer has been duly and validly authorized by all necessary action. This Agreement will be a legal, valid and binding obligation of Developer, enforceable against each in accordance with its terms, subject to usual qualifications related to the effects of laws relating to bankruptcy, insolvency and the limitations imposed by equitable considerations.

Valid Execution. The Developer’s execution and delivery of this Agreement by Developer has and the agreements contemplated hereby have been duly and validly authorized by all necessary actionaction and in full compliance with all applicable laws. This Agreement will be a legal, valid and binding obligation of the Developer, enforceable against each the Developer in accordance with its terms, subject to usual qualifications related the application of bankruptcy and insolvency laws, and for the possible unavailability of specific performance which is dependent on the exercise of judicial discretion. The Developer has provided to the effects City a written resolution of laws relating to bankruptcy, insolvency the Developer authorizing the execution of this Agreement and the limitations imposed agreements contemplated by equitable considerationsthis Agreement.
