Common use of Valid Issuance of Common Stock Clause in Contracts

Valid Issuance of Common Stock. The outstanding shares of Common Stock are, and when issued and duly delivered against payment therefor as contemplated in the applicable underwriting agreement, the shares of Common Stock issued in the Public Offering will be, duly authorized, validly issued, fully paid and non-assessable.

Valid Issuance of Common Stock. (i) The outstanding shares of Common Stock areShares, when issued, sold and when issued delivered in accordance with the terms hereof for the consideration expressed herein, will be duly and duly delivered against payment therefor as contemplated in the applicable underwriting agreement, the shares of Common Stock issued in the Public Offering will be, duly authorized, validly issued, fully paid and non-assessable. (ii) The outstanding shares of Common Stock are all duly and validly authorized and issued, fully paid and non-assessable.
