Common use of VALIDATION OF MEMBERS' MEETINGS Clause in Contracts

VALIDATION OF MEMBERS' MEETINGS. Business transacted at a meeting of Members which was not called or noticed pursuant to the provisions of Section 7.3 or 7.4 shall be valid as though transacted at a meeting duly held after regular call and notice, if Members holding in the aggregate more than 50% of the Percentage Interests are present, and if, either before or after the meeting, each of the Members entitled to vote but not present (whether in person or by proxy, as that term is used in the Statute) at the meeting signs a written waiver of notice, a consent to the holding of such meeting or an approval of the minutes thereof. All such waivers, consents or approvals shall be filed with the records of the LLC. Attendance at a meeting shall constitute a waiver of notice, unless an objection is made at the beginning of the meeting that it was not duly called or convened.
