Validity of acts of Directors. All acts done at a meeting of the Directors or of a Committee, or by a person acting as a Director are, even if it is afterwards discovered that: (a) there was a defect in the appointment or continuance in office of a person as a Director or of the person so acting; or (b) a person acting as a Director was disqualified or was not entitled to vote, as valid as if the relevant person had been duly appointed or had duly continued in office and was qualified and entitled to vote.
