Expenses of Directors. The Company shall promptly reimburse in full, each director of the Company who is not an employee of the Company and who was elected as a director solely or in part by the holders of Series A Convertible Preferred Stock, for all of his or her reasonable out-of-pocket expenses incurred in attending each meeting of the Board of Directors of the Company or any Committee thereof.
Expenses of Directors. The Corporation shall reimburse all directors for all reasonable out-of-pocket expenses incurred in attending meetings of the Board of Directors or of any committee of the Board of Directors.

All reasonable expenses of the Directors incurred in the performance of their duties, such as traveling expenses to attend Directors' meetings, may be chargeable to the Plan at the discretion of the Directors. Expenses of Directors. 2.6.1 Each Director or director shall be entitled to reimbursement by the Group of expenses in connection with the performance of such Director's duties as a Director or as director of any other Group Company in accordance with the applicable expenses policy of the Group from time to time, as adopted by the Board.
2.6.2 Subject to clause 7.2, Directors appointed to the Board shall be entitled to such level of remuneration as shall be determined by the Board (or a committee of the Board established to determine the emoluments from time to time of the Group's employees and directors).
Expenses of Directors. The Company shall reimburse each Purchaser's Board representative elected pursuant to the Stockholders' Agreement, his reasonable, out-of-pocket expenses incurred in connection with attending meetings of the Board of Directors of the Company or conducting such other activities as may be requested by the Company.
