Common use of Validity of Liens Clause in Contracts

Validity of Liens. The Borrower Security Agreement, the ----------------- Parent Pledge Agreement and each other Collateral Document required to be entered into on the date hereof shall be effective to create in favor of the Collateral Agent a legal, valid and enforceable first-priority security interest (except for Permitted Liens that have priority under applicable law) in and Lien upon the Collateral. All filings, recordings, deliveries of instruments and other actions necessary or desirable in the opinion of the Collateral Agent to protect and preserve such security interests shall have been duly effected, all such documents shall have been duly executed by the applicable Loan Party and all filing and recording fees and taxes relating to any of the foregoing shall have been duly paid. The Administrative Agent shall have received evidence thereof in form and substance satisfactory to the Administrative Agent.

All filings, recordings, deliveries of instruments and other actions necessary or desirable in the opinion of the Collateral Administrative Agent to protect and preserve such security interests shall have been duly effected, all such documents shall have been duly executed by the applicable Loan Party and all filing and recording fees and taxes relating to any of the foregoing shall have been duly paid.
