Common use of Value of Tendered/Withheld Shares Clause in Contracts

Value of Tendered/Withheld Shares. Any shares of Common Stock tendered or Option Shares withheld to pay the Option Price and/or to satisfy the Grantee’s minimum statutory tax withholding obligations will be valued at the Market Value of such shares on the effective date of the corresponding Option exercise.
