Common use of VECTRA’s Obligation Clause in Contracts

VECTRA’s Obligation. End User agrees that VECTRA has the right to defend, or at its option to settle, and VECTRA agrees, at its own expense, to defend or at its option settle, any third-party claim, suit or proceeding (collectively, “Action”) brought against End User alleging the Products infringe any United States patent in existence as of the Effective Date, subject to the limitations set forth herein. VECTRA will have sole control of any such Action or settlement negotiations, and XXXXXX agrees to pay, subject to the limitations set forth herein, any final judgment entered against End User on such issue in any such Action defended by VECTRA. End User agrees that VECTRA will be relieved of the foregoing obligations unless End User notifies VECTRA promptly in writing of such Action, gives VECTRA authority to proceed as contemplated herein, and gives VECTRA proper and full information and assistance to settle and/or defend any such Action.
