Common use of Vendor's Certificate Clause in Contracts

Vendor's Certificate. Vendor will have delivered to the Purchaser a certificate of Vendor, executed by a director or officer of Vendor, dated the time of closing, certifying in a form acceptable to the Purchaser, acting reasonably, to the fulfillment of the conditions set forth in Sections 10.1, 10.2 and 10.5.

Vendor's Certificate. The Vendor will have delivered to the Purchaser a certificate of the Vendor's President, executed by a director or as an officer of Vendorthe Vendor and not in his personal capacity, dated the time of closing, Closing Date and certifying in a form acceptable to detail that the Purchaser, acting reasonably, Purchaser may specify to the fulfillment of the conditions set forth in Sections 10.1, 10.2 sections 9.1 and 10.59.2.

Vendor's Certificate. The Vendor will have delivered to the Purchaser and the Parent Company a certificate of the Vendor's Manager, executed by as a director or officer manager of Vendorthe Vendor and not in his personal capacity, dated the time of closing, Closing Date and certifying in a form acceptable to such detail specified by the Purchaser, acting reasonably, to Purchaser and the Parent Company the fulfillment of the conditions set forth in Sections 10.1, 10.2 sections 9.2 and 10.59.3.

The Vendor will have delivered to the Purchaser a certificate of the President of the Vendor, executed by a director or as an officer of Vendorthe Vendor and not in his personal capacity, dated the time of closing, Closing Date certifying in a form acceptable to the Purchaser, acting reasonably, to the fulfillment of the conditions set forth in Sections 10.1, 10.2 sections 9.1 and 10.59.3 in the detail that the Purchaser may specify.
