Common use of Vendor’s Disclosure of Protected Information Clause in Contracts

Vendor’s Disclosure of Protected Information. Vendor will disclose Protected Information only to its employees, subcontractors or agents who need to access the Protected Information in order for Vendor to perform its obligations under the Agreement. Vendor will require any such subcontractors or agents to comply with the same restrictions and obligations imposed on Vendor in the Agreement (including this Addendum) and will ensure that they have undergone a background screening.
