Common use of Venue and Personal Jurisdiction Clause in Contracts

Venue and Personal Jurisdiction. Any suit or other proceeding not subject to arbitration under Section 12 will be brought solely in the federal courts in the Central District of California, if jurisdiction in such court can be obtained, and otherwise in the state courts of California, and each party hereby irrevocably submits to, and waives any objections to, the exercise of personal jurisdiction thereof and venue therein.
